Standby Subscription Receipts has the meaning set forth in Section 2.3;

  • It will take all action as may be required and appropriate so that each of the Rights, the Subscription Receipts issuable upon exercise of the Rights, the Shares underlying the Subscription Receipts, the Standby Subscription Receipts and the Variable Voting Shares underlying the Standby Subscription Receipts have been conditionally approved for listing on the TSX, subject to receipt of customary final documentation.

  • Subject to and in accordance with the terms hereof, on the Closing Date, the Standby Purchaser will pay, in immediately available funds by wire transfer to an account designated by Postmedia the aggregate purchase price that is payable for the Standby Subscription Receipts to be purchased by it hereunder in accordance with Section 2.3 hereof and Postmedia will issue the Standby Subscription Receipts to the Standby Purchaser.

  • The closing of the purchase by the Standby Purchaser and sale by Postmedia of the Standby Subscription Receipts to be purchased by the Standby Purchaser hereunder will be completed at the Toronto offices of Goodmans LLP at the Closing Time.

  • Each of the Standby Purchasers severally (and not jointly and severally) agrees that it will not offer or sell any of the Standby Subscription Receipts or the Common Shares underlying the Standby Subscription Receipts within the United States except, if applicable, for offers and sales in the United States by the U.S. affiliates of the Standby Purchasers.

  • The Standby Purchasers shall notify Catalyst in writing upon completion of distribution by the Standby Purchasers of the Standby Subscription Receipts and the underlying Common Shares.

  • In this regard each of the Standby Purchasers severally agrees to exercise its Basic Subscription Privilege in accordance with Section 6.1(f) and agrees to acquire the Standby Subscription Receipts in the proportion set forth opposite its name in Schedule B.

  • Each of the Standby Purchasers further acknowledges that following the Qualification Period, it may only resell the Standby Subscription Receipts and the Common Shares underlying the Standby Subscription Receipts pursuant to Rule 903 of Regulation S or in a transaction that is otherwise exempt from the registration provisions of section 5 of the 1933 Act.

  • It will prepare and, on or about the date hereof, it will file with the Canadian Securities Commissions, the Preliminary Prospectus (in the English and French languages, as appropriate), relating to the proposed distribution of the Rights and Subscription Receipts including the Standby Subscription Receipts.

  • It will take all action as may be required and appropriate so that the Rights, the Subscription Receipts issuable upon exercise of the Rights, the Standby Subscription Receipts and the Common Shares underlying the Subscription Receipts and the Standby Subscription Receipts have been conditionally approved for listing on the TSX, subject to receipt of customary final documentation.

  • It will consult with the Standby Purchasers and their respective advisors upon their reasonable request regarding the manner in which the Rights Offering, the issuance and sale of the Standby Subscription Receipts and the other transactions contemplated herein will comply with all applicable Securities Laws.

  • Subscription Receipts means the subscription receipts to be created, issued and authenticated under the Subscription Receipt Agreement and from time to time outstanding, each Subscription Receipt evidencing the rights to be set out in the Subscription Receipt Agreement;

  • Subscription Receipt Agreement means the agreement to be dated the Closing Date by and among the Corporation, the Cornerstones and the Subscription Receipt Agent governing the terms and conditions of the Subscription Receipts, in a form to be agreed by the Corporation and the Cornerstones, acting reasonably;

  • Subscription Receipt Agent means Computershare Trust Company of Canada;

  • Annual Subscription means the subscription paid by a member in accordance with the Registered Clubs Act and being paid either annually or otherwise.

  • Subscription Shares has the meaning ascribed to it in Section 2.1.

  • Subscription Fee means the Fees payable by IPTV Operator to ZEEL for availing the signals of Zee Group Channels on a monthly basis and calculated as “ZEEL’s Share of MRP” multiplied by average active subscribers for any given month.

  • Subscription Price has the meaning set forth in Section 2.1.

  • Subscriber Shares means the Shares which the subscribers to the Instrument of the ICAV agree to subscribe for as more particularly hereinafter set forth after their names.

  • Subscription Agent shall have the meaning set forth in Section 6(a)(iv) hereof.

  • Subscription Rights means the subscription rights to purchase Rights Offering Shares.

  • basic subscription privilege means a privilege to subscribe for the number or amount of securities set out in a rights certificate held by the holder of the rights certificate;

  • Subscription Fees the Fees payable for access to the Cloud Service as set out in an Order.

  • Subscribers shall have the meaning set forth in the section of this Escrow Agreement titled “Background.”

  • additional subscription privilege means a privilege, granted to a holder of a right, to subscribe for a security not subscribed for by any holder under a basic subscription privilege;

  • Deposit Securities means, as of any date, any United States dollar-denominated security or other investment of a type described below that either (i) is a demand obligation payable to the holder thereof on any Business Day or (ii) has a maturity date, mandatory redemption date or mandatory payment date, on its face or at the option of the holder, preceding the relevant payment date in respect of which such security or other investment has been deposited or set aside as a Deposit Security:

  • Subscription Form means the subscription forms attached hereto.

  • Subscription Amount means, as to each Purchaser, the aggregate amount to be paid for Shares and Warrants purchased hereunder as specified below such Purchaser’s name on the signature page of this Agreement and next to the heading “Subscription Amount,” in United States dollars and in immediately available funds.

  • Subscription Accounting means an accounting of all subscriptions for Shares received and accepted by Broker as of the date of such accounting, indicating for each subscription the Subscriber’s name, social security number and address, the number and total purchase price of subscribed Securities, the date of receipt by Broker of the Cash Investment Instrument, and notations of any nonpayment of the Cash Investment Instrument submitted with such subscription, any withdrawal of such subscription by the Subscriber, any rejection of such subscription by Broker, or other termination, for whatever reason, of such subscription.

  • Private Warrants means the Warrants the Investors are privately purchasing simultaneously with the consummation of the Company’s initial public offering.
