Stapled Security definition

Stapled Security means an Ordinary Share and each Attached Security that are Stapled together and registered in the name of the Member;
Stapled Security means a unit of the Company comprised of the Convertible PIK Notes (as defined in the Registration Rights Agreement) and Company Shares, which unit shall be deemed stapled and shall only be permitted to be Transferred in strip.
Stapled Security means a unit of stapled securities issued or issuable by the Company pursuant to the PIK Note Indenture and substantially in the form attached thereto, which consists of a principal amount of PIK Notes determined pursuant to the PIK Note Indenture (subject to adjustment as provided in the Stapled Security and the PIK Note Indenture) and one share of Common Stock (subject to adjustment as provided in the Stapled Security).

  • Notwithstanding anything set forth herein, this Stapled Security and the Notes and Common Shares that underlie this Stapled Security may not be acquired by any Subsidiary of the Company unless such Subsidiary is at the time treated as an entity disregarded as separate from the Company for U.S. federal income tax purposes.

  • In addition, upon the acquisition of a Stapled Security by the Company or any Subsidiary of the Company that is treated as an entity disregarded as separate from the Company for U.S. federal income tax purposes, the Common Shares and Notes associated with such Stapled Security will automatically separate.

  • No Stapled Security shall be accepted for deposit unless accompanied by evidence satisfactory to the Depositary that any necessary approval has been granted by any governmental body in the Commonwealth of Australia which is then performing the function of the regulation of currency exchange.

  • No Stapled Security underlying the Restricted Stock Units shall be acquired unless and until the Company and/or Participant shall have complied with all applicable federal or state registration, listing and/or qualification requirements and all other requirements of law or of any regulatory agencies having jurisdiction, unless the Committee reasonably determines that Participant may acquire such Stapled Security pursuant to an exemption from registration under the applicable securities laws.

Stapled Security means a Unit and each Attached Security which are Stapled together;
Stapled Security means a stapled security traded on the Relevant Stock Exchange as a single listed security of National Storage REIT, comprising one fully-paid ordinary share of NSH (or shares of any class or classes resulting from any subdivision, consolidation or re-classification of those shares, which as between themselves have no preference in respect of dividends or of amounts payable in the event of any voluntary or involuntary liquidation or dissolution of NSH) and one ordinary unit in NSPT as provided for in the constitution of NSPT pursuant to the terms of the constitutions of the Stapled Entities and the terms of the Stapling Deed or stapled securities of any class or classes resulting from any subdivision, consolidation or re-classification of those Stapled Securities.
Stapled Security means a Share and each Attached Security as Stapled together and registered in the name of the Member in the Stapling Register.
