Stock Acquisition Right definition

Stock Acquisition Right means any option, warrant, right (preemptive or otherwise), call, commitment, conversion right, right of exchange, plan or other agreement or contract of any character providing for the purchase, issuance or sale of any securities of any Company.
Stock Acquisition Right means the stock acquisition right (shinkabu yoyakuken) incorporated as part of each Convertible Bond, issued by the Company pursuant to the Indenture and the Supplemental Indenture entitling the bearer to acquire shares of common stock of the Company on the terms and in the manner described in the Indenture and the Supplemental Indenture;

  • Class and Number of Shares to be Issued or Transferred upon Exercise of Stock Acquisition Rights The class of shares to be issued or transferred upon exercise of the Stock Acquisition Rights shall be shares of common stock, and the number of shares to be issued or transferred upon exercise of each Stock Acquisition Right (hereinafter referred to as the “Number of Granted Shares”) shall be 100 shares.

  • The Company may, in its sole discretion, allow the Holder to transfer such One Yen Stock Acquisition Right as a gift to one or more family members.

  • Holder agrees that if the IRS determines that the One Yen Stock Acquisition Right was granted with a per share of Common Stock exercise price that was less than the Fair Market Value of a share of Common Stock on the date of grant or covers other than service recipient stock, Holder shall be solely responsible for Holder’s costs related to such a determination.

  • Holder acknowledges that the Company cannot and has not guaranteed that the IRS will agree that the per share of Common Stock exercise price of this One Yen Stock Acquisition Right equals or exceeds the Fair Market Value of a share of Common Stock on the date of grant or that the shares of Common Stock covered by this One Yen Stock Acquisition Right will be classified as service recipient stock in a later examination.

  • Notwithstanding any provisions in this Agreement, the One Yen Stock Acquisition Right grant shall be subject to any special terms and conditions set forth in the Exhibit F for the Holder’s country.

  • All issued and outstanding share capital of the Innovex Subsidiaries has been duly authorized and validly issued and is fully paid and non-assessable, and none was issued in violation of any Stock Acquisition Right for securities of any Innovex Subsidiary.

  • The number of shares underlying one Stock Acquisition Right (hereinafter referred to as the “Number of Granted Shares”) shall be one common share of the Company.

Related to Stock Acquisition Right

  • Stock Acquisition means the purchase or other acquisition by a Person or its Subsidiaries of all or substantially all of the Stock of any other Person.

  • Stock Acquisition Date means the first date of public announcement (which, for purposes of this definition, shall include, without limitation, a report filed pursuant to Section 13(d) under the Exchange Act) by the Company or an Acquiring Person that an Acquiring Person has become such.

  • Incentive Share Option means an Option that is intended to meet the requirements of Section 422 of the Code or any successor provision thereto.

  • Approved Stock Plan means any employee benefit plan which has been approved by the board of directors of the Company prior to or subsequent to the date hereof pursuant to which shares of Common Stock and standard options to purchase Common Stock may be issued to any employee, officer or director for services provided to the Company in their capacity as such.

  • Shares Acquisition Date means the first date of public announcement by the Company or an Acquiring Person that an Acquiring Person has become such.
