Parent Equity Awards definition

Parent Equity Awards means Parent Options, Parent DSU Awards and Parent PSU Awards.

Parent Equity Awards means the Parent Options, Parent Restricted Stock Units and Parent Performance Share Units.

Parent Equity Awards has the meaning set forth in Section 4.2(a).

Examples of Parent Equity Awards in a sentence

• In no event shall the Parent Equity Awards (as defined below) be included as an Unvested Option.

• All outstanding equity securities of Parent and NGLS are, and all Parent Shares issuable pursuant to Parent Equity Awards and NGLS Common Units issuable pursuant to NGLS Equity Awards, when issued in accordance with the respective terms thereof, will be, duly authorized, validly issued, fully paid and nonassessable and free of preemptive rights.

• As of the Effective Time, Merger Parent will assume this Plan and all outstanding SpinCo Equity Awards hereunder (which shall become Adjusted Parent Equity Awards) in accordance with the terms of Article IV of the Employee Matters Agreement.

• The shares of Parent Common Stock issuable as Merger Consideration pursuant to this Agreement and the shares of Parent Common Stock to be issued under Parent Equity Awards to be issued in accordance with Section 2.04 shall have been approved for listing on the NYSE, subject to official notice of issuance.

More Definitions of Parent Equity Awards

Parent Equity Awards means equity awards granted by Parent pursuant to the terms of a Parent Equity Plan.

Parent Equity Awards means collectively, the stock options, stock appreciation rights, restricted stock units, deferred stock units, performance awards, performance stock or performance share units, stock or share units, phantom stock or other awards relating to Parent Ordinary Shares granted under or governed by the Parent Equity Plans.

Parent Equity Awards means stock options, performance-based restricted stock unit awards, and restricted stock unit awards, in each case, granted by Parent and relating to shares of Parent Common Stock.
