All rights and obligations of the Parent and the Stock Sellers, on the one hand, and the Southern Entities, on the other hand, with respect to Taxes shall be provided in this Section 4.12.

Parent has the requisite corporate power and authority to execute and deliver this Agreement and all Ancillary Documents, to perform its obligations hereunder and thereunder and to consummate or cause the Stock Sellers and the Business Sellers to consummate the transactions to be consummated by Parent or each such Stock Seller or Business Seller as contemplated hereunder and thereunder.
