Strategic Competitor definition

Strategic Competitor with reference to the Company or Telesat, means a Person who is a provider of satellite communications services (which shall include, without limitation, direct to home services) where the sale of such services equals at least 10% of the total annual revenue of such Person and its Affiliates for the most recently completed fiscal year determined on a consolidated basis.
Strategic Competitor means any of Medtronic, Inc., St. Jude Medical, Inc., or ▇▇▇▇▇▇▇ & ▇▇▇▇▇▇▇, or any of their respective Subsidiaries or Affiliates.
Strategic Competitor means those entities listed in Schedule 3.0, or successor entities.

  • Upon the consummation of any Qualified Financing from any Strategic Competitor, 100% of the cash proceeds from such Qualified Financing shall be applied by the Company to prepay the outstanding principal of the Loans and accrued interest thereon.

  • Upon the consummation of any Qualified Financing from any investor other than a Strategic Competitor, 25% of the cash proceeds from such Qualified Financing shall be applied by the Company to prepay the outstanding principal of the Loans and accrued interest thereon.

  • If the Change of Control Event involves a Direct Strategic Competitor of Sprint PCS, then Sprint PCS may, during the period beginning with receipt of notice from VMU and ending 90 days following the consummation of any such transaction, terminate this Agreement by providing written notice to VMU of its intention to terminate this Agreement and subject to a Transition Period described in Section 15.3.1(v) below.
