Subsequent Facility definition

Subsequent Facility means a facility in which:
Subsequent Facility has the meaning set forth in Section 2.05 of this Agreement. For the avoidance of doubt, once a Subsequent Facility is sold pursuant to a Subsequent Closing, it shall no longer be a Subsequent Facility for purposes hereof.

Examples of Subsequent Facility in a sentence

  • The used research methods involve literature review and interviews.

  • Any notice which requires a response shall indicate the response time specified in Section 9.3. If a proposal involves a Platform, Facility or Subsequent Facility, the notice shall contain a description of same, including location and the estimated costs of design fabrication, transportation and installation.

  • No Overadvance shall have occurred and be continuing or would occur as a result of such Subsequent Facility Funding Date or Other Funding Date, as applicable (taking into consideration any Equity Contributions to be made substantially concurrently with such Revolving Loans).

  • The value attributable to each such Subsequent Facility shall be that set forth in the Price Allocation.

  • Unless otherwise agreed by the Parties, any Subsequent Facility not contributed pursuant hereto by the Long Stop Date, shall not be transferable hereunder.

  • After the Initial Funding, the parties shall use their reasonable best efforts to negotiate the terms of the Subsequent Facility by March 15, 2023.

  • Solely in connection with a Subsequent Facility Funding Date, the Initial Facility Funding Date in respect of the Facility that is the subject of the requested Revolving Loans has occurred on or prior to such Subsequent Facility Funding Date.

  • The Subsequent Consents relating to such Subsequent Facility shall have been obtained.

  • The Ground Lessor Estoppel Certificate Condition shall have been satisfied as to such Subsequent Facility at least ten (10) Business Days prior to the applicable Subsequent Closing.

  • Welltower shall use good faith efforts to keep Investor informed as to its progress in obtaining the Subsequent Consents for each Subsequent Facility.

Related to Subsequent Facility

  • Replacement Facility means 1 of the following:

  • Treatment facility means an institution (or distinct part thereof) for the treatment of alcoholism or drug abuse, which meets fully every one of the following tests:

  • Subsequent Financing shall have the meaning ascribed to such term in Section 4.12(a).

  • Subsequent Financing Notice shall have the meaning ascribed to such term in Section 4.12(b).

  • Replacement Revolving Facility has the meaning assigned to such term in Section 9.02(c)(ii).

  • Available Facility means the aggregate for the time being of each Lender’s Available Commitment.

  • Exit Facility means a credit facility that will be entered into by the City, the Exit Facility Agent and the other financial institutions party thereto on the Effective Date on substantially the terms set forth on Exhibit I.A.119.

  • Replacement Revolving Facility Effective Date shall have the meaning assigned to such term in Section 2.21(l).

  • Wastewater treatment facility means a treatment works, as

  • Major facility means any facility or activity classified as such by the regional administrator in conjunction with the board.

  • Conditional Incremental Auction means an Incremental Auction conducted for a Delivery Year if and when necessary to secure commitments of additional capacity to address reliability criteria violations arising from the delay in a Backbone Transmission upgrade that was modeled in the Base Residual Auction for such Delivery Year.

  • Subsequent Offering means any further issuance of Interests in any Series, excluding any Initial Offering or Transfer.

  • Failed Remarketing Condition—Purchased VRDP Shares Redemption means redemption by the Corporation, at a redemption price equal to $100,000 per share plus accumulated but unpaid dividends thereon (whether or not earned or declared) to, but excluding, the date fixed by the Board of Directors for redemption, of shares of a Series of VRDP Shares that the Liquidity Provider shall have acquired pursuant to the Purchase Obligation and continued to be the beneficial owner of for federal income tax purposes for a continuous period of six (6) months during which such VRDP Shares are tendered for Remarketing on each Business Day in accordance with the Related Documents but cannot be successfully remarketed (i.e., a Failed Remarketing Condition-Purchased VRDP Shares shall have occurred and be continuing for such period of time with respect to such VRDP Shares), determined by the Corporation on a first-in, first-out basis, in accordance with and subject to the provisions of the Fee Agreement and these Articles Supplementary.

  • Existing Facility means a facility in existence on any given date, newly constructed or altered.

  • Failed Remarketing Condition—Unpurchased VRDP Shares means that a Beneficial Owner (other than the Liquidity Provider or its affiliates) continues to hold VRDP Shares, that were subject to a valid Tender, after any Purchase Date as a result of the failure by the Liquidity Provider for any reason to purchase such VRDP Shares pursuant to the Purchase Obligation (whether as a result of an unsuccessful Remarketing or a Mandatory Purchase) ("Unpurchased VRDP Shares"), until such time as all Outstanding Unpurchased VRDP Shares are (i) successfully Remarketed, (ii) purchased by the Liquidity Provider pursuant to the Purchase Obligation, or (iii) if not successfully Remarketed or purchased by the Liquidity Provider pursuant to the Purchase Obligation, the subject of a validly tendered Notice of Revocation (or any combination of the foregoing); and any Unpurchased VRDP Shares shall be deemed tendered for Remarketing until the earliest to occur of the foregoing events (i), (ii) or (iii) with respect to such Unpurchased VRDP Shares.

  • Off-site facility means a structural BMP located outside the subject property boundary described in the permit application for land development activity.

  • Totally enclosed treatment facility means a facility for the treatment of hazardous waste which is directly connected to an industrial production process and which is constructed and operated in a manner which prevents the release of any hazardous waste or any constituent thereof into the environment during treatment. An example is a pipe in which waste acid is neutralized.

  • Senior Facility has the meaning given to the term “Facility” in the Senior Facilities Agreement.

  • Acquisition Facility the Acquisition Facility Commitments and the extensions of credit thereunder.

  • Contingent Facilities means those unbuilt Interconnection Facilities and Network Upgrades upon which the Interconnection Request’s costs, timing, and study findings are dependent and, if delayed or not built, could cause a need for restudies of the Interconnection Request or a reassessment of the Interconnection Facilities and/or Network Upgrades and/or costs and timing.

  • Qualified facility means a permanent facility within this state equipped for the production of motion pictures, television shows, or digital media production that meets all of the following requirements:

  • Exit Facilities means, collectively, the Exit ABL Facility and the Exit Term Loan Facility.

  • Subsequent Placement means the sale, grant of any option to purchase, or other disposition of by the Company, directly or indirectly, of any of the Company’s or its Subsidiaries’ equity or equity equivalent securities, including, without limitation, any Convertible Securities, Options, preferred stock or other instrument or security that is, at any time during its life and under any circumstances, convertible into or exchangeable or exercisable for Common Stock or Convertible Securities or Options.

  • LNG facility means a terminal which is used for the liquefaction of natural gas or the importation, offloading, and re-gasification of LNG, and includes ancillary services and temporary storage necessary for the re-gasification process and subsequent delivery to the transmission system, but does not include any part of LNG terminals used for storage;

  • Attachment Facilities means the facilities necessary to physically connect a Customer Facility to the Transmission System or interconnected distribution facilities.
