Subsidiary Employee Plan definition

Subsidiary Employee Plan means any stock option plan, which has been sponsored, contributed to or required to be contributed to by the relevant Key Subsidiary for the benefit of any Person who performs or who has performed services for such Key Subsidiary.
Subsidiary Employee Plan means any Foreign Subsidiary Employee Plan or any Restricted Subsidiary Employee Plan.
Subsidiary Employee Plan shall refer to any plan, program, policy, practice, contract, agreement or other arrangement providing for compensation, deferred compensation, incentive compensation, severance, termination pay, performance awards, stock or stock-related awards, fringe benefits or other employee benefits or remuneration of any kind, whether formal or informal, funded or unfunded, including without limitation each “employee benefit plan”, within the meaning of Section 3(3) of ERISA that is or has been maintained, contributed to, or required to be contributed to, by the Parent, any Subsidiary or any ERISA Affiliate for the benefit of any Employee, and pursuant to which the Parent, any Subsidiary, or any ERISA Affiliate has or may have any liability, contingent or otherwise.
