Supplemental Enhancement definition

Supplemental Enhancement is defined in the Insurance Agreement. ------------------------
Supplemental Enhancement means on any Distribution Date the product of the Supplemental Enhancement Percentage and the Collateral Amount (disregarding for the purposes of calculating the Collateral Amount any reference to Supplemental Enhancement).

  • The parties hereto agree that the Supplemental Enhancement Account shall be governed by the laws of the State of New York, and regardless of any provision in any other agreement, the "securities intermediary's jurisdiction" (within the meaning of Section 8-110 of the UCC) shall be the State of New York.

  • In no event shall the Trust Collateral Agent be liable for any insufficiency in the Collection Account and the Supplemental Enhancement Account resulting from any investment loss in any Eligible Account.

  • Remaining Parity Deficit Amount" means, with respect to any Payment Date, the excess, if any, of (x) the aggregate remaining principal balance of the Notes outstanding on such Payment Date, after giving effect to all reductions in such aggregate principal balance from (i) the Spread Account and (ii) the Supplemental Enhancement Account over (y) the sum of the Pool Balance at the end of the prior calendar month plus any remaining Pre-Funded Amount.

  • Amounts on deposit in the Supplemental Enhancement Account will be distributed to Class A Noteholders, or released to the Class C Certificateholder to the extent described in the Prospectus.

  • The amount of earnings on investments of funds in the Supplemental Enhancement Account during the Collection Period related to each Payment Date shall be paid to the Class C Certificateholder as the Supplemental Enhancement Account Investment Earnings Amount on each Payment Date, pursuant to Section 5.6(c)(vii) hereof.

  • The Trust will also issue a certificate (the "Class R Certificate") evidencing the right, subject to certain conditions described herein, to excess cash flow arising from the Receivables (as defined herein) and a Certificate (the "Class C Certificate") in an aggregate original principal balance equal to the original balance of the Supplemental Enhancement Account.

  • Enhancement Agreement means any agreement, instrument or document governing the terms of any Series Enhancement or pursuant to which any Series Enhancement is issued or outstanding.

  • Series Enhancement means the rights and benefits provided to the Trust or the Investor Certificateholders of any Series or Class pursuant to any letter of credit, surety bond, insurance policy, cash collateral guaranty, subordinated interest in the Trust Assets, cash collateral account, collateral interest, spread account, guaranteed rate agreement, maturity liquidity facility, tax protection agreement, interest rate swap agreement, interest rate cap agreement or other similar arrangement. The subordination of any Series or Class to another Series or Class shall be deemed to be a Series Enhancement.

  • Supplemental Services means services or items that are provided on a limited basis to complement the care provided by the caregiver.

  • Enhancement Provider means the Person providing any Enhancement as designated in the applicable Series Supplement.

  • Credit Enhancement Agreement means the Agreement among the Sellers, the Master Servicer, the Trustee and the Credit Enhancement Provider with respect to the Credit Enhancement.

  • Supplemental Servicing Fees means any and all (i) late fees, (ii) extension fees, (iii) non-sufficient funds charges and (iv) any and all other administrative fees or similar charges allowed by applicable law with respect to any Receivable.

  • Enhancement means, with respect to any Series of Notes, the rights and benefits provided to the Noteholders of such Series of Notes pursuant to any letter of credit, surety bond, cash collateral account, overcollateralization, issuance of subordinated Notes, spread account, guaranteed rate agreement, maturity guaranty facility, tax protection agreement, interest rate swap or any other similar arrangement.

  • Supplemental Ruling means (i) any ruling (other than the Ruling) issued by the IRS in connection with a Distribution, and (ii) any similar ruling issued by any other Taxing Authority addressing the application of a provision of the laws of another jurisdiction to a Distribution.

  • Supplemental Mortgage Loan Any Mortgage Loan other than an Initial Mortgage Loan conveyed to the Trust Fund pursuant to Section 2.01 hereof and to a Supplemental Transfer Agreement, which Mortgage Loan shall be listed on the revised Mortgage Loan Schedule delivered pursuant to this Agreement and on Schedule A to such Supplemental Transfer Agreement.
