Supplier Default definition

Supplier Default shall have the meaning as set forth in Clause 19.1.1; “Tariff” shall have the meaning as set forth in Clause 11.1.1;
Supplier Default has the meaning given to it in Clause 5.2;
Supplier Default has the meaning set forth in Section 11.1.1

Examples of Supplier Default in a sentence

  • Supplier may terminate an Agreement as follows: (a) for Customer Default by delivery of written notice thereof at any time prior to the date on which such Supplier Default is cured or remedied (any termination under this clause (a) shall be effective as of the date of delivery of notice of termination); or (b) pursuant to Section 10 (Casualty and Taking) below.

  • Except as expressly set forth in this MCSA or the applicable Service Order, Customer will not be obliged to pay any termination charges or demobilization fees in connection with the termination of any Agreement as a result of a Supplier Default.


More Definitions of Supplier Default

Supplier Default means a Supplier Contract Default or a Supplier Event ---------------- of Default.
Supplier Default means the occurrence of any of the following:
Supplier Default shall have the meaning ascribed to such term in Section 11.1 of this Agreement.
Supplier Default shall occur if: (i) if Supplier breaches (A) Section 6,1 (Confidentiality); or Section 9.3 (Debarment); or; (ii) if Supplier fails to perform any of its other material obligations under the applicable Agreement and (x) does not cure such failure within thirty (30) days after receiving notice of the same (describing such failure in reasonable detail) from Customer, or (y) if Supplier’s failure to perform is curable within 60 days but cannot reasonably be cured within thirty (30) days following written notice, no Supplier Default shall occur if Supplier commences to cure the breach within such thirty (30) day period and thereafter diligently prosecutes such cure to completion, or (z) if Supplier’s failure to perform cannot reasonably be cured within 60 days, the Agreement may be terminated immediately. 8.4
Supplier Default means any one or more of the following:
Supplier Default means any one or more of the following: an Insolvency Event occurring in respect of the Supplier [or the Guarantor] the Supplier committing a material default which is irremediable; a breach by the Supplier of any of its obligations under this Contract which materially and adversely affects the performance of the Services (but excluding any breach which is a Service Breakdown); a failure by the Supplier to take out and maintain the Insurances in accordance with the provisions of clause 28; a breach by the Supplier of its obligations under clauses 45.1.3 (Assignment, Novation and Sub-Contracting) and 46 (Change of Control); [a failure by the Supplier to provide a Parent Company Guarantee in breach of any of its obligations in clause 3;] the representation and warranty given by the Supplier pursuant to clause 4(a) (Supplier Warranties) being materially untrue or misleading; the Authority has become aware that the Supplier should have been excluded under Regulation 57(1) or (2) of the Public Contracts Regulations from the procurement procedure leading to the award of this Contract; a failure by the Supplier to comply in the performance of the Services with legal obligations in the fields of environmental, social or labour law; or serious misrepresentation in the Supplier's proposal or in any other information provided by the Supplier in response to the Authority's procurement procedure leading to the award of this Contract; in the circumstances more fully set out in paragraph 6.2 of the Specification; Supplier Default Termination Sum means contractual damages (including the costs of re-procurement of the Services, extra costs incurred purchasing replacement or alternative services; and/or the costs of extra management time), and any costs incurred in terminating this Contract.
Supplier Default means any breach of the obligations of the Supplier (including but not limited to fundamental breach or breach of a fundamental term) or any other default, act, omission, negligence or negligent statement of the Supplier or its Staff in connection with or in relation to the subject-matter of this Contract and in respect of which the Supplier is liable to the Customer;
