Support Payments definition

Support Payments payments from the Company to the Capital Corporation made pursuant to that certain Support Agreement, dated as October 15, 1996, by and between the Company and the Capital Corporation, as amended by the First Amended Agreement, dated as of November 1, 2003, between the Company and the Capital Corporation.

Support Payments means the amount of money ordered by the court

Support Payments means payments to COMPANY from a SUBLICENSEE for the purpose of funding or reimbursing the costs and expenses of bona fide research, development, manufacture and commercial efforts by COMPANY under a written research, development and/or commercialization plan, or a manufacturing or supply obligation, provided, that such SUPPORT PAYMENTS are not NET SALES under Section 1.13., and only to the extent COMPANY can reasonably demonstrate that such payments are or were spent on such research, development, manufacture and commercialization activities with respect to LICENSED PRODUCTS or LICENSED PROCESSES covered by the agreement to such SUBLICENSEE, and that are expressly intended only to fund or pay for (i) the purchase or use of equipment, supplies, products or services, or (ii) the use of employees and/or consultants, to achieve a bona fide research and/or development goal for, or the manufacture or the commercialization of, LICENSED PRODUCTS or LICENSED PROCESSES, as indicated in a written agreement between COMPANY and the SUBLICENSEE, and shall exclude any funding in excess of COMPANY’s cost of performing such research and development, manufacturing or commercialization activities.
