Surviving Corporation Board definition

Surviving Corporation Board means the board of directors of the Surviving Corporation;
Surviving Corporation Board has the meaning specified in Section 8.7(a).
Surviving Corporation Board shall have the meaning set forth in Section 1.5.

  • Promptly following the Effective Time of the Merger, Parent shall (a) cause the Surviving Corporation Board to (i) approve and adopt the Plan of Second Merger and (ii) the Surviving Corporation to execute and deliver the Plan of Second Merger and (b) approve and adopt the Plan of Second Merger as the sole shareholder of the Surviving Corporation at the time of the Second Merger.
