Tail Fund definition

Tail Fund means Cash set aside and held by the Debtors for purposes of payment of reasonable administrative costs (including but not limited to the salaries of the Debtors’ board members and officers) prior to dissolution of the Debtors in accordance with the Plan and the Implementation Memorandum, which shall be topped up from the Liquidating Trust Assets as, and to the extent, needed. The Debtors shall provide the Liquidating Trustee with a report of Tail Fund expenditures monthly. Immediately prior to the dissolution of the Debtors, any remaining portion of the Tail Fund shall be transferred to the Liquidating Trust and become part of the Liquidating Trust Assets.

Examples of Tail Fund in a sentence

  • On the Effective Date, the Tail Fund shall be funded for purposes of payment of administrative costs (including, but not limited to, the salaries of the Debtors’ board members and officers) of the Debtors prior to such dissolution.

  • Immediately prior to the dissolution of the Debtors, any remaining portion of the Tail Fund shall be transferred to the Liquidating Trust and become part of the Liquidating Trust Assets.

  • All Attending Physicians that are not part of the Movants’ group (but were employed at the Hospital since July 5, 2005) will be provided an opportunity to contribute to the Tail Fund and be bound by the Settlement Agreement.

  • Similarly, the Westchester Tail Fund will be funded by each participating Westchester Physician Staff with a matching contribution by SVCMC.

  • All contribution amounts received will be placed into an escrow account with the undersigned counsel for the Movants3 and held in such account until the establishment of the Tail Fund as part of the Debtors’ Plan.

  • The CCS notifies the Contractor and Project Engineer when the applicant is approved.

  • If there is no shortfall in the Manhattan Tail Fund, or after the shortfall is satisfied, any excess monies from the Westchester Tail Fund shall be distributed to the Liquidating Trust and the participating Westchester Physician Staff on a pro rata basis based on their respective contributions.

Related to Tail Fund

  • Special Fund means any fund other than the city general fund.

  • Sub-Fund means a segregated pool of assets and liabilities into which the Trust Fund is divided, established under the Trust Deed and the relevant supplemental deed as a separate trust as described in the relevant Appendix.

  • Endowment fund means an institutional fund or part thereof that, under the terms of a gift instrument, is not wholly expendable by the institution on a current basis. The term does not include assets that an institution designates as an endowment fund for its own use.

  • Provident Fund means any fund (other than a pension fund, benefit fund or retirement annuity fund) which is approved by the Minister in respect of the year of assessment in question: Provided that the Minister may approve a fund subject to such limitations or conditions as he or she may determine, and shall not approve a fund in respect of any year of assessment unless he or she is in respect of that year of assessment satisfied -

  • Payment Fund has the meaning set forth in Section 2.02(a).

  • New Fund means each of the series portfolios of the Trust, one of which shall correspond to one of the Current Funds as shown on Schedule A.

  • Mutual Fund or “Fund” or “UTIMF” means UTI Mutual Fund, a Trust under the Indian Trust Act, 1882 registered with SEBI under registration number MF/048/03/01 dated January 14, 2003.

  • Money market mutual fund means an open-end managed investment fund:

  • Fund means any Person (other than a natural person) that is (or will be) engaged in making, purchasing, holding or otherwise investing in commercial loans and similar extensions of credit in the ordinary course of its business.

  • Settlement Fund means the Settlement Amount plus any and all interest earned thereon.

  • Public fund means the state treasurer or a retirement system.

  • Mutual Funds means (i) all open-end mutual funds; and (ii) similar pooled investment vehicles established in non-U.S. jurisdictions, such as registered investment trusts in Japan. For purposes of the Code, Mutual Fund does not include shares of open-end money market mutual funds (unless otherwise advised by Compliance).

  • Program fund means the program fund established under section 12D.4.

  • General Fund means the Fund so designated and established by Article V hereof.

  • Retirement fund means the "Washington law enforcement

  • Loan Fund means the special fund created by the RECIPIENT for the repayment of the principal of and interest on the loan. “Loan Security” means the mechanism by which the RECIPIENT pledges to repay the loan.

  • Fresh Funds means funds that:

  • Managed Fund means those Funds, individually and collectively, for which the Portfolio Manager makes buy and sell decisions.

  • Revenue Fund means the fund so designated in, and created pursuant to, Section 502 hereof.

  • Principal Funds With respect to the Mortgage Loans and any Distribution Date, the sum, without duplication, of (1) the scheduled principal due during the related Due Period and received before the related Servicer Remittance Date or advanced on or before the related Servicer Remittance Date, (2) prepayments in full collected in the related Prepayment Period, (3) the Stated Principal Balance of each Mortgage Loan that was purchased by the Depositor during the related Prepayment Period or, in the case of a purchase pursuant to Section 9.01, on the Business Day prior to such Distribution Date, (4) the amount, if any, by which the aggregate unpaid principal balance of any Replacement Mortgage Loan is less than the aggregate unpaid principal of the related Deleted Mortgage Loans delivered by the Sponsor in connection with a substitution of a Mortgage Loan pursuant to Section 2.03(c), (5) all Liquidation Proceeds collected during the related Prepayment Period (to the extent such Liquidation Proceeds relate to principal and represent payment in full), (6) all Subsequent Recoveries received during the related Due Period and (7) all other collections and recoveries in respect of principal during the related Due Period, less (A) all Non-Recoverable Advances relating to principal with respect to the Mortgage Loans and (B) other amounts reimbursable (including without limitation indemnity payments) to the Servicer and the Trustee pursuant to this Agreement allocable to principal.

  • Debt Fund Affiliate means any Affiliate of the Sponsor that is a bona fide diversified debt fund primarily engaged in, or advising funds or other investment vehicles that are engaged in making, purchasing or otherwise investing in commercial loans, bonds and similar extensions of credit in the ordinary course of business whose managers have fiduciary duties to the third-party investors in such fund or investment vehicle that are independent of their duties to the equity holders of Holdings.
