Target Distribution Amount definition

Target Distribution Amount for any Fiscal Year shall mean the Applicable Ratio multiplied by the full amount of the TWC Member’s Minimum Preferred Return for the Fiscal Year. The “Applicable Ratio” means the percentage representing the aggregate distributions made to Condor Member pursuant to Section 5.1.1(a) for the Fiscal Year divided by the full amount of the Condor Member’s Minimum Preferred Return for the Fiscal Year. For example, if the full amount of Condor Member’s Minimum Preferred Return for a Fiscal Year were $600,000.00 and the aggregate distributions to the Condor Member pursuant to Section 5.1.1(a) were $400,000.00, the Applicable Ratio would be 66.67%. If the full amount of the TWC Member’s Minimum Preferred Return for a Fiscal Year were $150,000.00, the Target Distribution Amount would be $100,000.00 (66.67% of $150,000.00), and if the actual distributions to TWC Member pursuant to Section 5.1.1(b) for the same Fiscal Year is zero (0), making the Available Cash Shortfall of TWC Member for that Fiscal Year $100,000.00.
Target Distribution Amount means an amount, determined from time to time, that would be required to pay an annual distribution at the rate of the Preferential Distribution per Common Unit on all Common Units then issued and outstanding, plus the amount of any accrued and unpaid Preferential Distribution Shortfall outstanding at such time with respect to all Common Units owned by the General Partner. In addition to the foregoing, the definitions set forth in Section A of Schedule 1 to Exhibit B attached hereto are hereby incorporated by this reference.
Target Distribution Amount means the target quarterly distribution amount determined and announced annually (starting in September 2017) by the Manager and initially being $0.0875 per Class T Unit and $0.075 per Class A Unit for the first four quarterly periods (subject to proration for the quarter in which the Closing Date occurs) ;

Examples of Target Distribution Amount in a sentence

  • For each Quarter in which the Managing Member elects, pursuant to this Section 4.6, to reduce the Target Distributions, the adjusted Target Distribution Amount shall be the amount obtained by multiplying (a) the Target Distribution amount determined prior to the application of this Section 4.6 times (b) the quotient obtained by dividing (i) CAFD with respect to such Quarter by (ii) the sum of CAFD plus the Estimated Incremental Quarterly Tax Amount for such Quarter (as determined by the Managing Member).

  • The Funding Notice shall, to the extent commercially reasonable, provide for the receipt of such funds by the Company on the same day as the Distribution, but in any event such funds shall be received by the Company from a Member prior to the Distribution of the Target Distribution Amount to such Member.

  • Prior to Closing, Seller shall cause the Company to, and the Company shall, use its reasonable best efforts to make a cash distribution to Seller in an aggregate amount equal to the Target Distribution Amount in accordance with the terms of the Operating Agreement.

  • For the avoidance of doubt, the dividend by the Company to Seller of the capital stock of the TPA Entities pursuant to this Section 5.19 shall not be deemed to be a distribution in respect of the Target Distribution Amount.
