Target Rights definition

Target Rights means the rights provided for under the Target Rights Plan.
Target Rights as defined in the Recitals to this Agreement.
Target Rights means the rights associated with Target Common Stock issued in connection with the Target Rights Plan.

Examples of Target Rights in a sentence

  • Prior to the earlier of (i) the Effective Time and (ii) the termination of this agreement, Target shall not terminate, waive any provision of, exempt any person from or amend the terms of the Target Rights Plan (or redeem the Target Rights) except as provided herein.

  • Target shall take all required steps to cause the Target Rights Plan to terminate effective upon the Effective Time, without payment of any amounts to any holders thereunder.

  • Target has taken all necessary action and executed and delivered all such documents and instruments that are required to extend the Separation Time (as defined therein), including providing the Rights Agent (as defined in the Target Rights Agreement) with notice in writing of such extension, under the Target Rights Agreement until after the vote by the Target Shareholders on the Arrangement at the Target Special Meeting.

  • In accordance with the provisions of this Agreement, UKC shall, by means of an absorption-type company split, cause VGEL to succeed to the rights and obligations (the “Target Rights and Obligations”) stated in the “List of Target Rights and Obligations” in the Exhibit attached hereto with respect to the semiconductor and electronic component business of UKC (the “Business”), and VGEL shall accept such succession.

  • Except as previously approved in writing by Parent, Target's Board shall not otherwise (i) amend the Target Rights Plan in a manner adverse to Parent or Subsidiary, or (ii) redeem the Rights or take any action with respect to, or make any determination under, the Target Rights Plan adverse to Parent or Subsidiary.

  • Trade Secret Rights means the rights of an Assignor in any Trade Secret it holds.

  • Pre-Existing Intellectual Property Rights means any Intellectual Property Rights vested in or licensed to the Client or the Contractor prior to or independently of the performance by the Client of the Contractor of their obligations under this Contract.

The Use Rights supersede the terms of any end user license agreement that accompanies a Product. License terms for all Products are published in the Product Terms. Each Target Company owns, free and clear of all Liens (other than Permitted Liens), has valid and enforceable rights in, and has the unrestricted right to use, sell, license, transfer or assign, all Intellectual Property currently used, licensed or held for use by such Target Company, and previously used or licensed by such Target Company, except for the Intellectual Property that is the subject of the Company IP Licenses. For each Patent and Patent application in the Company Registered IP, the Target Companies have obtained valid assignments of inventions from each inventor. Except as set forth on Schedule 4.13(a)(iii), all Company Registered IP is owned exclusively by the applicable Target Company without obligation to pay royalties, licensing fees or other fees, or otherwise account to any third party with respect to such Company Registered IP.

  • Background IPR means any Intellectual Property Rights (other than Project IPR) belonging to either party before the Commencement Date or not created in the course of or in connection with the Project;

  • Licensed IP Rights means, collectively, the Licensed Patent Rights and the Licensed Know-How Rights.

  • Background Intellectual Property means all Intellectual Property introduced and required by either Party to give effect to their obligations under this Agreement owned in whole or in part by or licensed to either Party or their affiliates prior to the Commencement Date or developed after the Commencement Date otherwise pursuant to this Agreement;

  • Transferred Intellectual Property Rights means (a) the Transferred Patents, (b) the Transferred Copyrights, (c) the Transferred Internet Properties, (d) the Transferred Industrial Designs, (e) The Transferred Database Rights,(f) the Transferred Mask Work Rights, (g) the Transferred Trade Secrets, and (h) the Transferred Trademarks.

  • Company Stock Options shall have the meaning given to such term in Section 3.3(a) hereof.
