Target Sanction definition

Target Sanction means when the therapeutic potential of a Strategy directed to a Neurology Target has been demonstrated in pre-clinical disease models and such Strategy directed to such Neurology Target has received approval by Ionis’ RMC to justify expending resources to identify a human development candidate, all in accordance with Ionis’ standard processes.

Target Sanction means when the therapeutic potential of a Neurology Target has been demonstrated in pre-clinical disease models and such Neurology Target has received approval by Isis’ RMC to justify expending resources to identify a human Development Candidate, all in accordance with Isis’ standard processes.

Target Sanction means with respect to Ionis, [***], all in accordance with Ionis’ standard procedures consistently applied.

Examples of Target Sanction in a sentence

• The term for the conduct of the Disease Research Program will begin on the Effective Date and will end on the [***] anniversary of the Effective Date (the “Disease Research Term”); provided, however, if, by the [***] anniversary of the Effective Date Isis has not completed the activities set forth in the Disease Research Plan to support Target Sanction for [***] High Interest Targets, [***].

• If the JSC determines that such High Interest Target has not achieved Target Sanction status, then the JSC will decide whether or not to revise the Target Sanction criteria and/or determine whether additional work will be conducted for such High Interest Target to achieve Target Sanction (and will update the Disease Research Plan accordingly).

• If the JSC (or, if the JSC cannot agree, AstraZeneca), determines that such High Interest Target has achieved Target Sanction, and AstraZeneca designates such High Interest Target a Collaboration Target, then Isis will promptly commence a Collaboration Program for such Collaboration Target under Section 1.13 below.

• Each update to the Disease Research Plan will include, at a minimum (i) the High Interest Targets to be worked on in the Disease Research Plan in each Calendar Year (or remaining portion thereof) and, if not already commenced, the date on which the JSC anticipates that work on each High Interest Target will commence; and (ii) the activities to support Target Sanction for any High Interest Target included in the Disease Research Plan (including any work on High Interest Targets that is ongoing).

• Upon approval of such Target Sanction Plan, the Neurological Disease Research Plan shall be updated to include such Target Sanction Plan.

• It is anticipated that (A) Biogen will perform the [***] work required under any Target Sanction Plan if at the applicable time Biogen already has in place at Biogen or through its collaborators the appropriate [***] and the ability to conduct such [***] work, and (B) Ionis will conduct all other such [***] work.

• Depending on the stage of development of the applicable Product at the time of such notice, to the extent known by a Party at the applicable time, such information will also be included in the applicable Target Sanction Plan or Development Candidate Identification Plan, as applicable.

• Thereafter, the Parties will update each Target Sanction Plan as reasonably required until activities under such Target Sanction Plan have been completed (but no less than once every 12 months) and submit such updates to the Neurology JRC for its review and approval.

• The final Target Sanction Plan will include a summary of any [***] that the Parties (taking into account the recommendations of the [***]) consider are related to the applicable target or Strategy, or that may be [***] conduct of the activities under such Target Sanction Plan or the Development and Commercialization of Products directed to such High Interest Target or Collaboration Target (as applicable).
