Target Security definition

Target Security means any Guarantee, Encumbrance, InfraCo Bank Guarantees or cash deposit provided in the ordinary course of business by any Group Company (or by any provider of financing on behalf of any Group Company) in relation to the obligations to which any Group Company will be subject following completion of the Reorganisation in relation to any customer and supplier arrangements and any leasing arrangements for the purposes of the InfraCo Business to any person that is not a member of the Sellers’ Group (excluding any InfraCo Security and excluding any Identified Seller Security);
Target Security means a stapled security in the Target consisting of one unit in the AJO Fund and one unit in the PCP Trust.

Target Security means the security constituted by the Target Share Pledges, the Target Account and Inter-Company Loan Pledges, and any other security interest in favour of the Finance Parties granted pursuant thereto, in each case executed or to be executed by PrimaCom Netherland Holding BV or any member of the Multikabel Group listed in Schedule 9 (Members of the Multikabel Group Granting Security) pursuant to Clause 45.3 (Multikabel Acquisition);
Target Security the security delivered by the Target to the Company as collateral for the Target Loans, including pledge of all of its assets and operations, and the holdings of the Target in any other member of the Target Group.
Target Security means the Security securing Financial Indebtedness of the Target Group set out in the legal due diligence report prepared by Xxxxxxxxxx Xxxxxxx LLP (referred to in paragraph 4(c)(i) of Part 1 of Schedule 2 (Conditions Precedent)). Tax means any tax, levy, impost, duty or other charge or withholding of a similar nature (including any penalty or interest payable in connection with any failure to pay or any delay in paying any of the same).

  • Contract Security means any security given by the Contractor to the NCC in accordance with the Contract;

  • Company Security means any class or series of equity or voting interest in the Company (but excluding any options, rights, warrants and appreciation rights relating to an equity or voting interest in the Company), including Common Shares and the Voting Share.

  • Relevant Security means the Stock, any other equity security of the Company or any of its subsidiaries and any security convertible into, or exercisable or exchangeable for, any Stock or other such equity security.

  • Security means a mortgage, charge, pledge, lien or other security interest securing any obligation of any person or any other agreement or arrangement having a similar effect.

  • Bearer Security means any Security established pursuant to Section 201 which is payable to bearer.

  • Coupon Security means any Bearer Security authenticated and delivered with one or more Coupons appertaining thereto.
