Tax Event Redemption Principal Amount definition

Tax Event Redemption Principal Amount means in the case of a Tax Event Redemption occurring prior to a successful remarketing of the Notes, for each Note the product of the principal amount of the Note and a fraction whose numerator is the Treasury Portfolio Purchase Price and whose denominator is the aggregate Stated Amount of Notes outstanding on the Tax Event Redemption Date, and in the case of a Tax Event Redemption Date occurring after the earlier of a successful remarketing of the Notes or the Stock Purchase Date, the Stated Amount of the Notes.
Tax Event Redemption Principal Amount means either (i) if the Tax Event Redemption Date occurs prior to May 17, 2004 or, in the event of Failed Initial Remarketing, prior to the Purchase Contract Settlement Date, the aggregate principal amount of the Notes which are components of Income PRIDES on the Tax Event Redemption Date or (ii) if the Tax Event Redemption Date occurs on or after May 17, 2004 or, in the event of a Failed Initial Remarketing, on or after the Purchase Contract Settlement Date, the aggregate principal amount of the Notes outstanding on such Tax Event Redemption Date.
Tax Event Redemption Principal Amount means (i) in the case of a Tax Event Redemption Date occurring prior to a successful remarketing of the Notes pursuant to the provisions of Section 5.4, the aggregate principal amount of Notes included in Normal Units on such date, and (ii) in the case of a Tax Event Redemption Date occurring after a successful remarketing of the Notes pursuant to the provisions of Section 5.4, the aggregate principal amount of the Notes.

  • Unless the Company defaults in payment of the Tax Event Redemption Principal Amount, on and after the Redemption Date, interest shall cease to accrue on the Notes, subject to Section 1106 of the Base Indenture.
