Unless the Company defaults in payment of the Tax Event Redemption Principal Amount, on and after the Redemption Date, interest shall cease to accrue on the Notes, subject to Section 1106 of the Base Indenture.
If a Tax Event occurs, the Company may, at its option, redeem all outstanding Notes in whole, but not in part, at any time at a redemption price, equal to, for each Note, the Tax Event Redemption Principal Amount plus accrued and unpaid interest, if any, on such Note to but excluding the Redemption Date (the "Redemption Price").
