Examples of Telecommunications Approvals in a sentence
A certificate of a Responsible Officer of the Customer to the effect that all national and local Telecommunications Approvals that are necessary or, in the opinion of AEF, desirable for the construction and launch of the Satellite, the provision of services to the transponders, if applicable, and the construction of the TTC&M Facilities and the Project in general have been obtained and are in full force and effect and unrestricted and unconditional, together with certified copies of all such approvals.
Each Credit Party shall duly and timely comply in all respects with the provisions, terms and conditions of all Telecommunications Approvals, except to the extent that such failure, individually or in the aggregate, could not reasonably be expected to have a Material Adverse Effect.

Engage, or permit any Subsidiary to engage, in any business other than owning and operating Telecommunications Networks; or permit any License Subsidiary to engage in any line or lines of business activity other than holding Telecommunications Approvals; or permit the Telecommunications Approvals to be held in the name of any Person other than a License Subsidiary.
The Telecommunications Approvals listed on said Schedule 4.01(w) include all material authorizations, licenses and permits issued by the FCC that are required or necessary for the operation of the Telecommunications Networks of the Borrower and its Subsidiaries, and the conduct of the business of the Borrower and its Subsidiaries with respect to such Telecommunications Networks, as now conducted or proposed to be conducted.
There are no pending matters, or to the Knowledge of each Purchaser, threatened matters, related to each Purchaser or its qualifications that would reasonably be expected to result in a denial or delay in obtaining FCC Approvals, State PUC Approvals and/or the Non-U.S. Telecommunications Approvals for the acquisition of control of the Permits.
As of the Closing Date, Disclosure Schedule (3.1) correctly lists (i) all such Telecommunications Approvals; (ii) the geographical area to which each such Telecommunications Approval relates; (iii) the Governmental Authority that issued each such Telecommunications Approval; (iv) the expiration date, if any, of each such Telecommunications Approval; and (v) if not issued in the name of a Credit Party, the name of the Person in whose name such Telecommunications Approval is nominally issued.
The Telecommunications Approvals listed in said Schedule 4.01(w) are issued in the name of a License Subsidiary are on the date hereof validly issued and in full force and effect without conditions except for such conditions as are generally applicable to holders of such Telecommunications Approvals, and the Borrower and its Subsidiaries will have fulfilled and performed in all material respects all of their obligations with respect thereto and have full power and authority to operate thereunder.
Loan Origination/Acquisition costs incurred for loan origination are amortized over a period of five years.
