Tenant Control Party definition
Tenant Control Party means:
Tenant Control Party means (i) Guarantor, (ii) any direct or indirect subsidiary of Guarantor that Controls Tenant, (iii) Tenant and (iv) at such time that Tenant is no longer a direct or indirect subsidiary of Guarantor, any Person or group of Persons Controlling any Tenant or Guarantor (excluding (x) any Qualified Fund LP, and (y) the general partner of any Qualified Fund, provided that no Competitor shall own, directly or indirectly, a beneficial or record interest of forty-nine percent (49%) or more therein).
Tenant Control Party means (i) Guarantor, (ii) any direct or indirect subsidiary of Guarantor that Controls Tenant, (iii) Tenant, and (iv) Harvest Facility Holdings LP and any wholly owned subsidiary of Harvest Facility Holdings LP for so long as it is wholly owned by Harvest Facility Holdings LP.
Examples of Tenant Control Party in a sentence
Subject to Section 21.7, Landlord’s prior written consent shall be required for a Transfer of any direct or indirect stock, partnership, membership, or other equity interest in, or Transfer of all or substantially all of the assets of, any Tenant, Guarantor or any Tenant Control Party, or the consummation of any other transaction with another Person, that results, in any such case, in a change in Control of Tenant or Guarantor, unless the Applicable Transfer Conditions are met.
