Tender Offer Closing Date means the date of Purchaser's purchase of Shares pursuant to the Offer. Should the Employment Agreement contain definitions of the foregoing terms which are different from those set forth above, this Agreement will be deemed to have been amended to contain such different definitions.

Tender Offer Closing Date means the date the Tender Offer is consummated in accordance with the terms of the Pharmasset Acquisition Agreement.
