Term Debenture definition

Term Debenture means the debenture in the principal amount of $237,227,000 dated the 1st day of March, 2004 issued by the Borrower in favour of the Shareholder;

  • The Borrower shall comply with all of the covenants and obligations contained in the Term Debenture and shall provide the Administrative Agent with copies of any notices delivered by or to the Borrower pursuant to the terms of the Term Debenture concurrent with the delivery of such notice by or to the Parent.

  • 2011 Notes means those certain notes issued pursuant to the Note Purchase Agreement dated as of March 22, 2011 among the Company and the purchasers named in Schedule A thereto.

  • 2019 Notes has the meaning set forth in the definition of “2018 Exchange Offers”.

  • Debenture means debenture stock, mortgages, bonds and any other such securities of the Company whether constituting a charge on the assets of the Company or not.

  • 2016 Notes means the aggregate principal amount of US$460,000,000 of 4.25% Convertible Senior Notes Due 2016 issued pursuant to the 2016 Note Indenture.

  • Series D Notes is defined in Section 1.

  • Series C Equipment Notes means Equipment Notes issued under an Indenture and designated as "Series C" thereunder.

  • New Notes shall have the meaning assigned to such term in Section 32.

  • 2017 Notes means the aggregate principal amount of US$600,000,000 of 6.25% Guaranteed Senior Notes Due 2017 issued pursuant to the 2017 Note Indenture.

  • Series B Equipment Notes means Equipment Notes issued and designated as “Series B Equipment Notes” under the Indenture, in the original principal amount and maturities as specified in Schedule I to the Indenture under the heading “Series B Equipment Notes” and bearing interest at the Debt Rate for Series B Equipment Notes specified in Schedule I to the Indenture.

  • Subordinated Notes means the Initial Notes and the Exchange Notes and, more particularly, any Subordinated Note authenticated and delivered under this Indenture, including those Subordinated Notes issued or authenticated upon transfer, replacement or exchange.
