Unless this Agreement has been terminated pursuant to Section 2, no later than ninety (90) days prior to the expiration of the Term Company will give Employee written notice advising Employee whether or not Company will seek to negotiate an extension of the Term ("Extension Notice").
In the event that Tenant shall fail to give the Short Term Extension Notice to Landlord on or prior to January 31, 2019, then Tenant shall be deemed to have waived its Short Term Extension Right hereunder.

The Administrative Agent shall distribute any such Closing Date Term Extension Notice promptly to the Lenders following its receipt thereof.
Upon receipt of the Term Extension Notice Nalcor shall, within 180 days, Notify Emera whether or not it requires all of the Energy comprising the aforementioned annual portion of the Nova Scotia Block, to meet its NL Load Forecast requirements during the immediately following proposed Subsequent Term and shall provide Emera with a true copy of the NL Load Forecast.
