Sumitomo shall cause MSC to pay in cash within three (3) Business Days after the Closing Date, US$2,500,000, in complete satisfaction of the expenditures made by Apex or any Apex Affiliate on behalf of MSC up to the Term Sheet Date as set forth on Schedule F (“Apex Reimbursable Expenditures”).
