Third Party Securities definition

Third Party Securities means, with respect to any Receivables Sale, notes, bonds or other debt instruments, beneficial interests in a trust, undivided ownership interests or other securities issued for cash consideration by any Receivables Subsidiary to banks, investors or other financing sources (other than the Borrower and the Subsidiaries) the proceeds of which are used to finance, in whole or part, the purchase by the Receivables Subsidiary of accounts receivable in Receivables Sales.

Third Party Securities means, with respect to any South Central Securitization, notes, bonds or other debt instruments, beneficial interests in a trust, undivided ownership interests in receivables or other securities issued for cash consideration by the relevant Securitization Vehicle to banks, financing conduits, investors or other financing sources (other than the Borrower or any Subsidiary except in respect of the Seller’s Retained Interest) the proceeds of which are used to finance, in whole or in part, the purchase by such Securitization Vehicle of South Central Securitization Assets in a South Central Securitization. The amount of any Third Party Securities shall be deemed to equal the aggregate principal, stated or invested amount of such Third Party Securities which are outstanding at such time.

Third Party Securities means, with respect to any Securitization, notes, bonds or other debt instruments, beneficial interests in a trust, undivided ownership interests in receivables or other securities issued for cash consideration by the relevant Securitization Vehicle to banks, financing conduits, investors or other financing sources (other than the Borrower or any Subsidiary except in respect of the Sellers’ Retained Interest) the proceeds of which are used to finance, in whole or in part, the purchase by such Securitization Vehicle of Securitization Assets in a Securitization. The amount of any Third Party Securities shall be deemed to equal the aggregate principal, stated or invested amount of such Third Party Securities which are outstanding at such time.

Examples of Third Party Securities in a sentence

• Except as otherwise provided in Section 12 and the Third Party Securities Lending Agreement including the SPO, wire, and individual transaction charges specified in such agreement and except for such other transaction fees incurred as the result of securities lending that are charged at the same rates as comparable transactions for the Lender, fees and expenses of Custodian shall be the sole responsibility of Lender.

More Definitions of Third Party Securities

Third Party Securities means any securities included in a registration statement requested under Section 2.1 or 2.2, other than (i) Registrable Securities, and (ii) securities to be sold by the Company for its own account.

The amount of any Third Party Securities shall be deemed to equal the aggregate principal, stated or invested amount of such Third Party Securities which are outstanding at such time.

Third Party Securities means, with respexx xx xny Securitization, notes, bonds or other debt instruments, beneficial interests in a trust, undivided ownership interests or other securities issued for cash consideration by the relevant Securitization Vehicle to banks, investors or other financing sources (other than the Company and its Subsidiaries) the proceeds of which are used to finance, in whole or part, the purchase by such Securitization Vehicle of accounts receivable (including Account Assets) or inventory in a Securitization.

Third Party Securities shall have the meaning set forth in Section 6.13(c).

Third Party Securities means, with respect to any Qualified Securitization Transaction, notes, bond or other debt instruments, beneficial interests in a trust, undivided ownership interests in an entity or in a pool or pools of Financeable Assets or other securities issued for cash consideration by the relevant Securitization Entity to banks, investors or other financing sources (other than the Company and its Restricted Subsidiaries) the proceeds of which are used to finance, in whole or in part, the purchase by such Securitization Entity of Financeable Assets in a Qualified Securitization Transaction.

Third Party Securities has the meaning specified in Section 1.5(a).
