Within five (5) days after receipt of Buyer's Title Objection Notice, Seller shall provide an updated title insurance commitment (the "Title Commitment Update").
Notwithstanding the foregoing, if a Title Commitment Update is received by Buyer containing previously undisclosed, new or updated and/or amended exceptions to title between the Initial Closing Date and Outside Closing Date (the “Extension Period”), then Buyer shall cause same to be promptly provided to Seller, no more than two business days from receipt of same, with a revised Title Objection Notice.
If Buyer elects to terminate this Agreement under this Section, including any termination occurring pursuant to a Title Commitment Update up to and on Closing, Title Company shall immediately deliver the Down Payment to Buyer without further notice to or from Seller and neither party shall thereafter have any further rights or obligations under this Agreement except for those rights and obligations that survive the termination of this Agreement or the Close of Escrow as provided in this Agreement.
Should Buyer fail to notify Seller in writing of any objections to any matter first disclosed in a Title Commitment Update prior to the expiration of the applicable Title Commitment Update Review Period, as applicable, Buyer shall be deemed to have approved such matters whereupon they shall become Permitted Exceptions.
Should Buyer fail to notify Seller in writing of its Objection to any matter in the Title Commitment or on the Survey prior to the Title Review Date, or to any matter first disclosed in a Title Commitment Update prior to the Update Review Period, as applicable, Buyer shall be deemed to have approved all such matters which shall be considered to be “Conditions of Title” as defined in Section 4.1(e) below.
In the event that the Title Insurer amends or updates a Title Commitment after the Buyer’s delivery of Buyer’s Notice to Seller (each, a “Title Commitment Update”), the Buyer shall furnish Seller with a written statement of Title Objections to any matter first raised in a Title Commitment Update within ten (10) days after its receipt of such Title Commitment Update.

All Objections (whether to the Title Commitment, the Existing Survey, or a Title Commitment Update) must be made in good faith and be reasonable given the context of the size, scope and nature of the transaction contemplated by this Agreement.
Buyer may notify Seller in writing of any objections to the New Defects within ten (10) days of receipt of the Title Commitment Update and documentation relating thereto (“New Defects Objection”).
Except as otherwise set forth herein, if Buyer fails to notify Sellers in writing of any Objections in the Title Commitment or Survey prior to the Title Review Date, or to any matter first disclosed in a Title Commitment Update prior to the end of the Title Update Review Period, as applicable, Buyer shall be deemed to have approved such matters which shall be considered to be Permitted Real Property Encumbrances as set forth in Section 4.8.6 below.
