Toggle Date means the earlier of (i) the first fiscal quarter end on which the Total Net Leverage Ratio is not less than 1.75:1.00, or (ii) the first date on which the Total Net Leverage Ratio, after giving pro forma effect to any applicable Investment, designation of any Unrestricted Subsidiary, and/or Restricted Junior Payment, is not less than 1.75:1.00.

Toggle Date means [INSERT DATE THAT IS 18 MONTHS AFTER THE DATE THIS AGREEMENT IS EXECUTED].

Notwithstanding anything set forth herein or otherwise to the contrary, Term Agent shall not issue an Enforcement Notice (as defined above) or take any steps to commence an Enforcement Period (as defined in the Intercreditor Agreement) without the prior written consent of the ABL Agent until the ABL/Term Loan Toggle Date.

More Definitions of Toggle Date

Toggle Date means, as applicable, (i) the day on which a Toggle Trigger Event occurs; or (ii) the day the Company Parties, in their reasonable business judgment, and the Required Consenting Term Lenders agree to toggle to a Recapitalization Transaction. “Toggle Trigger Event” has the meaning set forth in the Restructuring Term Sheet. “Transfer” means to sell, resell, reallocate, use, pledge, assign, transfer, hypothecate, participate, donate or otherwise encumber or dispose of, directly or indirectly (including through derivatives, options, swaps, pledges, forward sales or other transactions). “Transfer Agreement” means an executed form of the transfer agreement providing, among other things, that a transferee is bound by the terms of this Agreement and substantially in the form attached hereto as Exhibit C. “Winning Bidder” has the meaning set forth in the Restructuring Term Sheet. 1.02.

Toggle Date means, as applicable, (i) the day on which a Toggle Trigger Event occurs or (ii) the day the Company Parties determine, in their reasonable business judgment, and the Required Consenting Term Lenders agree, to toggle to a Recapitalization Transaction. “Unencumbered Assets” means, at any given time, all assets of a given Company Entity or Entities that are not subject to a validly perfected lien, including, without limitation, the equity of all first tier Foreign Subsidiaries (as defined in the First Lien Collateral Agreement) of the Loan Parties, deposit account control agreements, and any other asset not previously pledged to secure a loan in favor of the Company.

Related to Toggle Date

Distribution Commencement Date means the Issue Date or such other date as may be specified as the Distribution Commencement Date on the face of such Perpetual Security;
Make-Whole Fundamental Change Effective Date means (A) with respect to a Make-Whole Fundamental Change pursuant to clause (A) of the definition thereof, the date on which such Make-Whole Fundamental Change occurs or becomes effective; and (B) with respect to a Make-Whole Fundamental Change pursuant to clause (B) of the definition thereof, the applicable Redemption Notice Date.
PIK Period means the period beginning on the first Borrowing Date through and including the earlier to occur of (i) the sixteenth (16th) Payment Date after the first Borrowing Date and (ii) the date on which any Default shall have occurred (provided that if such Default shall have been cured or waived, the PIK Period shall resume until the earlier to occur of the next Default and the sixteenth (16th) Payment Date after the first Borrowing Date).
Amortization Commencement Date means the date on which an Amortization Event is deemed to occur pursuant to Section 20 hereof.
ZERO DATE means the date of issue of LETTER OF INTENT (LOI) or issue of WORK ORDER, whichever is earlier.
Class A-4 Final Scheduled Distribution Date means January 17, 2023.
Scheduled Closing Date Has the meaning specified in the Note Purchase Agreement.

Initial Date means the date of the closing of the Initial Offering of the Company.
Programme Date means the date of this Base Prospectus.
Class A-3 Final Scheduled Distribution Date means January 15, 2021.
Available Date means the date upon which Licensor notifies MSDH that the Software may be accessed on the Licensor’s ASP server and MSDH may begin acceptance testing.
Programme Effective Date means 5 December 2017.
Class A-4 Final Scheduled Payment Date means July 15, 2031.
Initial Closing Date shall have the meaning assigned to such term in Section 1.2 hereof.

Scheduled Final Payment Date means, with respect to the Storm Recovery Bonds, the date with respect to each tranche when all interest and principal is scheduled to be paid in accordance with the Expected Sinking Fund Schedule, as specified in the Series Supplement. For the avoidance of doubt, the Scheduled Final Payment Date shall be the last Scheduled Payment Date set forth in the Expected Sinking Fund Schedule. The “last Scheduled Final Payment Date” means the Scheduled Final Payment Date of the latest maturing Tranche of Storm Recovery Bonds.
Exit Date means the date on which the insurance cover of the Scheme Member ceases due to occurrence of any of the following events:
Class A-1 Final Scheduled Distribution Date means the Distribution Date.
