Trading Cushion means the mandatory minimum fifteen (15) Trading Days between Put Dates.
Second Closing has the meaning set forth in Section 2.2.
First Closing has the meaning set forth in Section 2.1(a).
Put Closing shall have the meaning set forth in Section 2.3.8.
Trading Partner means any external computer interoperating with a Licensed Component through one or more protocols, one or more networks, or one or more adapters;
Initial Closing shall have the meaning ascribed to such term in Section 2.1.
Trading Member means a Person who has been approved by Nadex to trade directly and not through a FCM Member on the Market, and does not include any FCM Member.
Trading Date means the closing of the first sale to the general public of the Shares pursuant to a registration statement filed with and declared effective by the U.S. Securities and Exchange Commission under the Securities Act.
Third Closing shall have the meaning ascribed to such term in Section 2.1(c).
Secondary Market Transaction shall have the meaning set forth in Section 11.1 hereof.
First Trading Date means 15 November 2022.
Public-finance transaction means a secured transaction in connection with which:
Final Closing means the last closing under the Private Placement;
Trading Access means the right granted to a Person to send RFQs or place Orders and/or enter into transactions for certain or all Swaps to the SEF Platform or execute Swaps subject to the BSEF Rules.
Closing has the meaning set forth in Section 2.2.
Closing Warrants shall have the meaning ascribed to such term in Section 2.1(a)(ii).
IPO Closing means the initial closing of the sale of the Class A Common Stock in the IPO.
Financial Closing means the execution of the Financing Documents by all the parties thereto, and the fulfillment of all conditions precedent thereunder necessary to permit the advance of funds to pay amounts due under this Agreement.
Internal Market Buyer means a Market Buyer making purchases of energy from the PJM Interchange Energy Market for ultimate consumption by end-users inside the PJM Region that are served by Network Transmission Service.
Time of Closing means 10:00 a.m. (Vancouver time) on the Closing Date, or such other time as the parties may mutually determine;
trading book means all positions in financial instruments and commodities held by an institution either with trading intent or in order to hedge positions held with trading intent;
Secondary Market refers to a bulletin board platform at wxx.xxxxxxxxxxx.xx created by Masterworks.
Subsequent Closing has the meaning set forth in Section 3.2.
Trading Affiliate has the meaning set forth in Section 3.2(h).
Financial Close means the Capacity Market Seller has demonstrated that the Capacity Market Seller or its agent has completed the act of executing the material contracts and/or other documents necessary to (1) authorize construction of the project and (2) establish the necessary funding for the project under the control of an independent third-party entity. A sworn, notarized certification of an independent engineer certifying to such facts, and that the engineer has personal knowledge of, or has engaged in a diligent inquiry to determine, such facts, shall be sufficient to make such demonstration. For resources that do not have external financing, Financial Close shall mean the project has full funding available, and that the project has been duly authorized to proceed with full construction of the material portions of the project by the appropriate governing body of the company funding such project. A sworn, notarized certification by an officer of such company certifying to such facts, and that the officer has personal knowledge of, or has engaged in a diligent inquiry to determine, such facts, shall be sufficient to make such demonstration.
External Market Buyer means a Market Buyer making purchases of energy from the PJM Interchange Energy Market for consumption by end-users outside the PJM Region, or for load in the PJM Region that is not served by Network Transmission Service.
