Transfer Authorizer Designation Form definition

Transfer Authorizer Designation Form means a form substantially in the form of Exhibit I to be delivered to the Administrative Agent pursuant to Section 5.1.(a), as the same may be amended, restated or modified from time to time with the prior written approval of the Administrative Agent.

Transfer Authorizer Designation Form means a form substantially in the form of Exhibit K to be delivered to the Administrative Agent pursuant to Section 5.1.(a), as the same may be amended, restated or modified from time to time with the prior written approval of the Administrative Agent.

• Subject to fulfillment of all applicable conditions set forth herein, the Administrative Agent shall make available to the Borrower in the account specified by the Borrower in the Transfer Authorizer Designation Form, not later than 3:00 p.m. Eastern time on the Initial Funding Date or the Fifth Amendment Effective Date, as applicable, the proceeds of such amounts received by the Administrative Agent.

• The Borrower agrees to be bound by any transfer request: (i) authorized or transmitted by the Borrower; or, (ii) made in the Borrower’s name by an authorized representative specified on the Transfer Authorizer Designation Form and accepted by the Administrative Agent in good faith and in compliance with this Section 2.16., even if not properly authorized by the Borrower.
