Trustee Option definition

Trustee Option means an Option granted pursuant to Section 5.
Trustee Option has the meaning given to it in Clause 9.1 of this Deed.

  • The Company may change the type of 102 Trustee Option that it elects to grant only after the passage of at least 12 months from the end of the year in which the first grant was made in accordance with the previous Election, or as otherwise provided by Applicable Law.

  • The Grantee granted a 102 Trustee Option shall comply with the Ordinance and the terms and conditions of the Trust Agreement entered into between the Company and the Trustee.

  • If such 102 Trustee Option is exercised after the expiration of the Required Holding Period, the Shares issued upon such exercise shall, at the election of the Grantee, either (i) be issued in the name of the Trustee, or (ii) be issued to the Grantee, provided that the Grantee first complies with all applicable provisions of the Plan and all taxes with respect thereto shall have been fully paid to the ITA.

  • In particular, neither the Trustee, Option Counterparty or Swap Counterparty, nor any Noteholder or Couponholder, nor any other party to a Supplemental Trust Deed shall be entitled to petition or take any other step for the winding-up or examination of the Issuer, nor shall any of them have any claim in respect of any sum arising in respect of the Mortgaged Property for any other Series or any other assets secured for the benefit of any other obligation of the Issuer.

  • The Section 102(b) Route Election shall obligate the Company to grant only the type of Section 102 Trustee Option it has elected, and shall apply to all Optionees who were granted Section 102 Trustee Options during the period indicated herein, to the extent required under and in accordance with the provisions of Section 102(g) of the Tax Ordinance and the applicable regulations.

  • Such Section 102(b) Route Election shall become effective beginning the first date of grant of a Section 102 Trustee Option under this Addendum and shall remain in effect until the end of the year following the year during which the Company first granted Section 102 Trustee Options.

  • Notwithstanding anything in Section 12(d) of the Plan to the contrary, with regard to Section 102 Trustee Option and the Common Shares issued upon exercise of such Options, as long as such Options and/or Shares are held by the Trustee on behalf of the Key Employee, all rights of the Key Employee with respect thereto are personal and cannot be transferred, assigned, pledged or mortgaged, other than by will or by the laws of descent and distribution.

  • No Section 102 Trustee Options may be granted under this Addendum to any eligible Key Employee, unless and until, the Company’s election of the type of Section 102 Trustee Options, either as “Ordinary Income Option Through a Trustee” or as “Capital Gain Option Through a Trustee” is appropriately filed with the Income Tax Authorities before the first date of grant of Section 102 Trustee Option.

  • Shoe Option means the Initial Purchasers’ option to purchase up to seventy five million dollars ($75,000,000) aggregate principal amount of additional Notes as provided for in the Purchase Agreement.

  • Stock Option means a contractual right granted to an Eligible Person under Section 6 hereof to purchase shares of Common Stock at such time and price, and subject to such conditions, as are set forth in the Plan and the applicable Award Agreement.

  • Performance Option means an Incentive Stock Option or Nonqualified Stock Option, the grant of which or the exercisability of all or a portion of which is contingent upon the attainment of specified Performance Measures within a specified Performance Period.

  • Nonqualified Option means any Option that is not an Incentive Stock Option.

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Reload Option means any Option granted under Section 6(a)(iv) of the Plan.

  • Rollover Option has the meaning set forth in Section 2.4(a).

  • Director Option means an Option granted pursuant to Section 6.

  • Vested Option means any Option, which has already been vested according to the Vesting Dates.

  • 'Survivor's Option means, where applicable, the right of a holder of a Note to require the Company to repay such Note prior to its Stated Maturity upon the death of the owner of such Note, subject to the provisions hereof relating to such option."

  • Company Stock Option means any option to purchase one or more shares of the Company’s Common Stock granted under any of the Company Stock Plans.

  • Stock Options means the collective reference to "Incentive Stock Options" and "Other Stock Options".

  • Employee Option means an Option granted pursuant to Section 5.

  • Incentive Option means an Option which by its terms is to be treated as an “incentive stock option” within the meaning of Section 422 of the Code.

  • Non-Qualified Option means an Option that is not an Incentive Stock Option.

  • Related Option means an Option with respect to which a Stock Appreciation Right has been granted.

  • Notice of Stock Option Grant means the document so entitled to which this Agreement is attached.

  • Top-Up Option has the meaning set forth in Section 1.04(a).

  • SAR means a stock appreciation right granted under the Plan.

  • Unvested Option means an Option in respect of which the relevant Vesting Conditions have not been satisfied and as such, the Option Grantee has not become eligible to exercise the Option.

  • NQSO means any Option that is not an ISO.

  • Vested Company Option means each Company Option outstanding as of immediately prior to the Effective Time that is vested as of immediately prior to the Effective Time or will vest solely as a result of the consummation of the Merger.

  • Vested Options means the Options that have vested in accordance with Section 2.2 of this Agreement.

  • Rollover Options has the meaning provided in Subsection 3.1(h).
