  • The Parties acknowledge that Schedule 1 attached to the form of Transition Services Agreement contained in Exhibit L (the “General Scope of Included Services”) reflects the general scope of certain services anticipated by the Parties to be provided pursuant to the Transition Services Agreement by the TSA Sellers, TSA EMEA Sellers and their respective Affiliates (and may reflect greater detail as to some of such services), but may not be sufficiently refined to define all such services in detail.

  • On the Closing Date but before the Closing, the TSA Sellers and the TSA EMEA Sellers shall be ready, willing and able to satisfy their obligations pursuant to the Transition Services Agreement in all material respects and the Main Sellers will deliver a certificate to the Purchaser to that effect.

  • Seller Use means fuel used for gas compression, LPG plants and LNG plants, other gas needed by Seller's facilities to furnish the requirements of Buyers, together with unaccounted for gas. This gas shall be considered included in Priority of Service Category 1. Other vital uses of Seller, such as flame stabilization requirements, will be met as long as such uses do not jeopardize service to its firm service Buyers.

  • Target Company means each of the Company and its direct and indirect Subsidiaries.

  • Seller’s Group means the Seller and any company which is, on or after the date of this Agreement, a subsidiary or holding company of the Seller or a subsidiary of a holding company of the Seller, and excludes, for the avoidance of doubt, any Group Company, and "Seller's Group Company" shall be construed accordingly.

  • Acquired Company means any business, corporation or other entity acquired by the Company or any Subsidiary.

  • Seller Representatives has the meaning set forth in Section 5.8(a).

  • Buyer Entities means, collectively, Buyer and all Buyer Subsidiaries.

  • Purchaser Parent has the meaning set forth in the preamble to this Agreement.
