UBC Improvements definition

UBC Improvements means improvements, variations, updates, modifications, and enhancements relating to the Patents or Technology made, discovered and/or acquired by UBC at any time after the Effective Date, which are claimed or covered by the Patents, or if not claimed or covered by the Patents, are analogs of and synthesized based upon a compound, group of compounds, or pharmacophore that is claimed or covered by the Patents in existence prior to the initial manufacture or discovery of such new compounds. For clarity UBC Improvements do not include New Technology;
UBC Improvements means improvements, variations, updates, modifications, and enhancements made and/or acquired solely by UBC relating to the Technology at any time after the Effective Date;
UBC Improvements improvements, variations, updates, modifications, and enhancements which relate to the Technology made solely by the University at any time after the Commencement Date that cannot be practised without infringing the claims of the Patents;

Examples of UBC Improvements in a sentence

  • All further costs with respect to all Patents or Patent Applications relating to the Technology and any UBC Improvements or Joint Improvements, and all maintenance fees for such patents incurred by the University at any time after April 27, 2001, shall be reimbursed by the Licensee to the University within 30 days of presentation of receipts and/or invoices by the University to the Licensee.

  • Without limitation, the Licensee will not issue a press release regarding this Agreement or the ‘Licensed Patents, Technology, UBC Improvements or any Assigned Licensee Improvements without first obtaining UBC’s written approval, such approval not to be unreasonably withheld or delay, and provided that Licensee shall be permitted to make such public disclosures regarding the existence or terms of this Agreement as are required to comply with applicable law or regulation.

  • Within five days of the Effective Termination Date, the Licensee will deliver to UBC all Licensed Patents, Technology, UBC Improvements and any Assigned Licensee Improvements in its possession or control and has no further right of any nature at all in the Licensed Patents, Technology, UBC Improvements or any Assigned Licensee Improvements.

  • Within 5 days of the Effective Termination Date, the Licensee will deliver to UBC all Technology, the UBC Improvements, Joint Improvements and the FOU Licensee Improvements in its possession or control and has no further right of any nature at all in the Technology, the UBC Improvements, Joint Improvements and the FOU Licensee Improvements.

  • If UBC makes such an assignment, [*], provided that UBC assigns to such company or society the entire right, title and interest in and to all the Licensed Patents, Technology, UBC Improvements and any Assigned Licensee Improvements and the company or society, as the case may be, signs a written agreement which provides that the company or society assumes all obligations or covenants from UBC and that the Licensee retains all rights granted to the Licensee under this Agreement.

  • Thereafter, within 30 days of presentation of receipts and/or invoices by UBC to the Licensee, the Licensee will reimburse UBC for the balance of all costs incurred to date regarding any Patents or Patent applications relating to the Technology and any UBC Improvements or Joint Improvements licensed under this Agreement.

  • Within 5 days of the Effective Termination Date, the Company will deliver to UBC all Patents, any UBC Improvements, and any Joint Improvements in its possession or control and has no further right of any nature at all in the Patents, any UBC Improvements, and/or any Joint Improvements.

  • The Licensee may identify any process, use or products arising out of the Technology and any UBC Improvements and Joint Improvements that may be patentable and UBC will, on the request of the Licensee, take reasonable steps to apply for a patent in the name of UBC provided that the Licensee pays all costs of applying for, registering and maintaining the patent in the jurisdictions in which the Licensee designates that a patent is required.

  • If the Company’s objection is based on the proposed disclosure containing UBC Confidential Information that is included in the Patents, any UBC Improvements, and/or any Joint Improvements requiring patent protection, then UBC will delay the proposed disclosure for up to 6 months from the date UBC delivered the proposed disclosure to the Company, during which time a patent application may be filed in accordance with Article 8.

  • Except as required by law, a stock exchange or regulatory authority, the Licensee will not issue a press release regarding this Agreement or the Technology, UBC Improvements or IP Rights without first obtaining UBC’s written approval, such approval not to be unreasonably withheld or delayed.


More Definitions of UBC Improvements

UBC Improvements means collectively the Core UBC Improvements and the FOU UBC Improvements.
UBC Improvements has the meaning set out in the License Agreement;
UBC Improvements means Unencumbered improvements, variations, updates, modifications, and enhancements made and/or acquired within 3 years after the Start Date by the Investigator(s) while employed at UBC and/or any UBC Personnel in the course of their employment while working directly under the supervision of such Investigator(s) in such lnvestigator(s)’s laboratory(ies), which cannot be legally used or practiced without infringing the Patents licensed under this Agreement. For avoidance of doubt, if the Investigator(s), and/or any person that is under the Investigator(s)’s laboratory, is a UBC faculty member, staff, student or employee of UBC and is also employed or affiliated with the Company in any capacity, such person (including the Investigator(s)) shall always be deemed to be a UBC person for the purposes of this Agreement and subject to UBC’s policies and procedures (hxxx://xxxxxxxxxxxxxxxxx.xxx.xx/xxxxxxxx/index/); and any improvement that is made, invented or developed solely by such person or persons shall be deemed to be a UBC Improvement;
UBC Improvements means improvements, variations, updates, modifications, and enhancements, that are disclosed to UBC’s University Industry Liaison Office that are unencumbered by any obligations of UBC to third parties, which cannot be legally used or practiced without infringing the Patents or Technology licensed under this Agreement, made and/or acquired at any time after the Start Date by UBC researchers while employed at UBC and the faculty members, employees or graduate students employed by UBC who are under the direct supervision of such UBC researchers, provided that UBC has been assigned all rights to same and provided further that such improvements, variations, updates, modifications, and enhancements are not made or acquired based on third party confidential information; and
UBC Improvements. Any and all improvements, variations, updates, modifications, enhancements and alterations related to the Technology, including all improvements, variations, updates, modifications, enhancements and alterations relating to photodynamic compounds or therapies, which are conceived, invented, developed and/or acquired solely by UBC Personnel, or by UBC Personnel jointly with the Licensee at any time after the Commencement Date, whether patentable or not, (i) if patentable, claim priority from any of the patents or patent applications which comprise the Technology and can not be used or practiced without a licence of Technology, (ii) if not patentable, which relate directly to the Technology, or (iii) inventions or developments by [**] relating to [**].

Related to UBC Improvements

  • Licensee Improvements means any enhancement to or modification or improvement of the Licensed Patents and/or the Proprietary Information created by or on behalf of Licensee and/or any of its subsidiaries.

  • Joint Improvements means (a) any and all Improvements to the Acceleron Technology created, conceived or reduced to practice, and, in the case of patentable Improvements, Invented, solely by Celgene, its Affiliates, agents or by Third Parties acting on their behalf, while performing activities under this Agreement; and (b) any and all Improvements to the Acceleron Technology or Joint Technology created, conceived or reduced to practice, and, in the case of patentable Improvements, Invented, jointly by Acceleron and Celgene, their respective Affiliates, agents or Sublicensees or by Third Parties acting on their behalf, while performing activities under this Agreement; provided, however, that Joint Improvements shall not include any Improvement that is a Celgene Improvement or Acceleron Improvement.

  • Site Improvements means any construction work on, or improvement to, streets, roads, parking facilities, sidewalks, drainage structures and utilities.

  • Project Improvements means site improvements and facilities that are:

  • Public Improvements means only the following improvements: housing facilities; garbage disposal plants; rubbish disposal plants; incinerators; transportation systems, including plants, works, instrumentalities, and properties used or useful in connection with those systems; sewage disposal systems, including sanitary sewers, combined sanitary and storm sewers, plants, works, instrumentalities, and properties used or useful in connection with the collection, treatment, or disposal of sewage or industrial wastes; storm water systems, including storm sewers, plants, works, instrumentalities, and properties used or useful in connection with the collection, treatment, or disposal of storm water; water supply systems, including plants, works, instrumentalities, and properties used or useful in connection with obtaining a water supply, the treatment of water, or the distribution of water; utility systems for supplying light, heat, or power, including plants, works, instrumentalities, and properties used or useful in connection with those systems; approved cable television systems, approved cable communication systems, or telephone systems, including plants, works,

  • Needs Improvement the Educator’s performance on a standard or overall is below the requirements of a standard or overall, but is not considered to be unsatisfactory at this time. Improvement is necessary and expected. Unsatisfactory: the Educator’s performance on a standard or overall has not significantly improved following a rating of needs improvement, or the Educator’s performance is consistently below the requirements of a standard or overall and is considered inadequate, or both.

  • Minimum Improvements means the acquisition of land and construction of a 152-unit market rate residential apartment building, construction of a stormwater pond and related improvements. The Minimum Improvements are more fully depicted in Exhibit B, which is attached hereto and incorporated herein.

  • Private Improvements means the improvements to be constructed on the Property that are not Public Improvements.

  • Improvements means the buildings, structures, improvements, and alterations now constructed or at any time in the future constructed or placed upon the Land, including any future replacements and additions.

  • Infrastructure Improvements means a street, road, sidewalk, parking facility, pedestrian mall, alley, bridge, sewer, sewage treatment plant, property designed to reduce, eliminate, or prevent the spread of identified soil or groundwater contamination, drainage system, waterway, waterline, water storage facility, rail line, utility line or pipeline, transit-oriented development, transit-oriented property, or other similar or related structure or improvement, together with necessary easements for the structure or improvement, owned or used by a public agency or functionally connected to similar or supporting property owned or used by a public agency, or designed and dedicated to use by, for the benefit of, or for the protection of the health, welfare, or safety of the public generally, whether or not used by a single business entity, provided that any road, street, or bridge shall be continuously open to public access and that other property shall be located in public easements or rights-of-way and sized to accommodate reasonably foreseeable development of eligible property in adjoining areas. Infrastructure improvements also include 1 or more of the following whether publicly or privately owned or operated or located on public or private property:

  • Public improvement means projects for construction, reconstruction or major renovation on real property by or for a public agency. “Public Works” shall mean roads, highways, buildings, structures and improvement of all types, the construction, reconstruction, major renovation or painting of which is carried on or contracted for by any public agency to serve the public interest by does not include the reconstruction or renovation of privately owned property which is leased by a public agency.

  • Leasehold Improvements means all buildings, structures, improvements and fixtures located on any Leased Real Property which are owned by any Group Company, regardless of whether title to such buildings, structures, improvements or fixtures are subject to reversion to the landlord or other third party upon the expiration or termination of the Lease for such Leased Real Property.

  • Infrastructure improvement means permanent infrastructure that is essential for the public health and safety or that:

  • Substitute Improvements means the substitute or additional improvements of the Issuer described in Article V hereof.

  • Tenant Improvements Defined in Exhibit B, if any.

  • Improvement Costs means any additional expenditure on a fixed asset that materially increases the capacity of the asset or materially improves its functioning or represents more than 10% of the initial depreciation base of the asset;

  • Improvement Plan means the plan required by the Authority from the Supplier which shall detail how the Supplier will improve the provision of the Goods and/or Services pursuant to Clause 29.1.1 (Authority Remedies);

  • Quality Improvement means a focus on activities to improve performance above minimum standards and reasonably expected levels of performance, quality and practice.

  • Capital Improvement Project means the acquisition, construction, reconstruction, improvement, planning and equipping of roads and bridges, appurtenances to roads and bridges to enhance the safety of animal-drawn vehicles, pedestrians, and bicycles, wastewater treatment facilities, water supply systems, solid waste disposal facilities, and storm water and sanitary collection, storage and treatment facilities including real property, interests in real property, facilities, and equipment related or incidental to those facilities.

  • Home improvement contractor or "contractor" means a person who sells goods and services, or agrees to furnish or render services, to a retail buyer pursuant to a home improvement installment contract, or sells goods and services to a retail buyer pursuant to a home improvement charge agreement, but not in connection with construction of new homes.

  • The Works/Project means the works to be executed or done under this contract.

  • Tenant Improvement Work means the construction of the Tenant Improvements, together with any related work (including demolition) that is necessary to construct the Tenant Improvements.
