As of the date hereof, neither the Parent nor any Subsidiary has been issued with a contribution notice or financial support direction by the UK Pensions Regulator or received any warning notice from the UK Pensions Regulator relating to the issue of a contribution notice or financial support direction.
To the extent that the UK Pensions Regulator issues any notices and/or directions and/or orders as set out in clauses (A) through (F) of Section 5.21(b)(xviii) during the Pre-Closing Period, the Company shall notify the Investors promptly and shall cooperate by allowing the counsel for the Lead Investors and the Ad Hoc Counsel an opportunity to review and comment on the preparation of any responses to, or inquiries with, the UK Pensions Regulator regarding any such notices and/or directions and/or orders.
The Debtors have been cooperating with the UK Pensions Regulator and have provided the UK Pensions Regulator with responsive information.
The key remaining issues for the Company are to deal with the Financial Support Direction (“FSD”) claims of the UK Pensions Regulator (“TPR”) asserted against the Company and certain EMEA Companies, the allocation of the sale proceeds within the Group (Purchase Price Allocation, or “PPA”) and, in due course, the development of an appropriate process to agree creditors’ claims and distribute available funds to them.
The Debtors therefore dispute that any basis exists for the UK Pensions Regulator to seek contribution or financial support from any of the affiliated Visteon Entities outside the UK with respect to these Claims.
