UK Transferring Employees definition

UK Transferring Employees has the meaning set forth in Exhibit D-1.
UK Transferring Employees means any employee employed in the UK Business (for the purpose of the Transfer Regulations) immediately before Closing excluding any employee who would have been so employed had they not been unfairly dismissed for a reason connected to the transfer of the UK Business and any employee who objects to becoming employed by the Buyer under Regulation 4(7) of the Transfer Regulations.
UK Transferring Employees shall have the meaning set forth in Section 5.10(a).
