Unclaimed Escrow Amount definition

Unclaimed Escrow Amount means, as of any date of determination, an amount equal to the amount then remaining in the Indemnity Escrow, minus the good faith estimate of any outstanding and unpaid indemnification claim made pursuant to Section 9.2(a) (whether disputed or undisputed).
Unclaimed Escrow Amount means the amount of monies remaining in the Indemnity Escrow Account minus the amount of all Claims that have been made on or prior to the first anniversary of the Closing Date that, as on such date, are subsisting and have not been paid.
Unclaimed Escrow Amount means, as of any date of determination, an amount equal to (a) the amount then remaining in the Indemnity Escrow, minus (b) (i) the amount of any outstanding and unpaid indemnification claim made in good faith pursuant to Section 9.2(a) (whether disputed or undisputed), plus (ii) the amount of all unpaid Closing Date Adjustments, if any, payable by Seller pursuant to Section 1.7.

Examples of Unclaimed Escrow Amount in a sentence

  • On the date after the expiration of the Survival Period, the remaining Unclaimed Escrow Amount shall be released to Schurz.

  • Fifty percent (50%) of the Unclaimed Escrow Amount remaining after the distribution on the sixth month anniversary of the Closing Date shall be released by the Escrow Agent to the Sellers on the twelve (12) month anniversary of the Closing Date and the remaining Unclaimed Escrow Amount shall be released in full on the eighteen (18) month anniversary of the Closing Date.

  • The remaining Unclaimed Escrow Amount shall be released in full on the fifteen-month anniversary of the Closing Date.

  • Unclaimed Property means any distribution to any Creditor under this Plan that is unclaimed sixty (60) days following the date of such distribution under this Plan.

  • Adjustment Escrow Amount means $1,000,000.

  • Adjustment Escrow Fund means the Adjustment Escrow Amount deposited with the Escrow Agent, as such amount may be increased or decreased as provided in this Agreement and the Escrow Agreement, including any remaining interest or other amounts earned thereon.

  • Escrow Deposit has the meaning set forth in Section 3.3.

  • Qualified escrow fund means an escrow arrangement with a federally or state-chartered financial institution having no affiliation with any tobacco product manufacturer and having assets of at least one billion dollars where such arrangement requires that such financial institution hold the escrowed funds’ principal for the benefit of releasing parties and prohibits the tobacco product manufacturer placing the funds into escrow from using, accessing, or directing the use of the funds’ principal except as consistent with section 453C.2, subsection 2, paragraph “b”.

  • Escrowed Funds Has the meaning, with respect to any Trust, specified in Section 2.02(b).

  • Exchange Fund shall have the meaning set forth in Section 3.2(a).
