Undated Subordinated Notes means notes with no specified maturity date which are direct, unconditional, unsecured and subordinated obligations of the Issuer and rank pari passu without any preference among themselves and pari passu with any other existing or future direct, unconditional, unsecured and subordinated obligations of the Issuer with no specified maturity date (any such obligations, Undated Subordinated Obligations).

Examples of Undated Subordinated Notes in a sentence

  • The use of the proceeds of issues of Undated Subordinated Notes will be set out in the applicable Final Terms.

  • Subordinated Notes will be Dated Subordinated Notes or Undated Subordinated Notes as indicated in the applicable Pricing Supplement.

  • Arrears of Interest shall (to the extent permitted by law) bear interest accruing (but only, in accordance with Article 1154 of the French Code civil, after such interest has accrued for a period of one year) and compounding on the basis of the exact number of days which have elapsed at the prevailing rate of interest on the Undated Subordinated Notes in respect of each relevant Interest Period.

  • In the case of Undated Subordinated Notes, interest shall be payable on each Compulsory Interest Payment Date (as defined below) in respect of the interest accrued in the Interest Period ending on the day immediately preceding such date.

  • GeneralSubordinated Notes (“ Subordinated Notes”) comprise Dated Subordinated Notes and Undated Subordinated Notes (all as defined below).

  • SubordinationSubordinated Notes (which term shall include both Subordinated Notes with a specified maturity date ( Dated Subordinated Notes) and Subordinated Notes without a specified maturity date (Undated Subordinated Notes)) are unsecured subordinated obligations of the Issuer and rank and will rank pari passu without any preference among themselves and pari passu with any other unsecured subordinated obligations of the Issuer but in priority to any prêts participatifs granted to the Issuer.

  • Provisions relating to the deferral of interest on Undated Subordinated Notes will be set out in the relevant Pricing Supplement.

  • If the Ordinary Subordinated Notes have no specified maturity date, such Notes constitute Undated Subordinated Notes and Condition 3(b)(i)(x) shall apply to them.

  • The Undated Subordinated Notes shall also rank in priority to any class of share capital, whether represented by ordinary shares or preference shares (actions de préférence), issued by the Issuer.

Related to Undated Subordinated Notes

  • Subordinated Notes means the Initial Notes and the Exchange Notes and, more particularly, any Subordinated Note authenticated and delivered under this Indenture, including those Subordinated Notes issued or authenticated upon transfer, replacement or exchange.

  • Senior Unsecured Notes means $2,000,000,000 in aggregate principal amount of the Borrower’s 9.000% senior notes due 2025 issued pursuant to the Senior Unsecured Notes Indenture on the Closing Date.
