Notwithstanding anything to the contrary contained herein, in the event Recipient fails to make a payment of any Undisputed Amount when due hereunder, and such failure continues for a period of sixty (60) days following delivery of notice to Recipient of such failure, the Provider shall have the right to cease provision to Recipient of the Services related to such Undisputed Amount until such overdue payment (and any applicable late payment fee accrued with respect thereto) is paid in full.
Any amount that is not the subject of an Agreement Dispute (an “Undisputed Amount”) that is not paid when due shall be subject to a late payment fee computed daily at a rate equal to the Applicable Rate from the due date of such amount to the date such amount is paid (for example, if an Undisputed Amount were not paid for five days the late payment fee would be equal to 5/365 multiplied by the Applicable Rate).
Payment of any previously unpaid Undisputed Amount shall be credited first to all interest accrued and then to principle.
Any Noteholder's Certificate of Undisputed Amount and Direction, Noteholder's Certificate of Allowed Amount and Direction, Noteholder's Certificate of Allowed Fee Amount and Direction, or Company's Certificate of Non-Allowed Claim and Direction shall be delivered to all Representatives concurrently with its delivery to the Escrow Agent.
Escrow Agent shall disburse a Noteholder's Escrow Funds, at any time and from time to time, on the fifteenth day after receipt of and in accordance with a Noteholder's Certificate of Undisputed Amount and Direction from such Noteholder's Representative.
