Unit Redemption definition

Unit Redemption has the meaning set forth in the Recitals.
Unit Redemption means a redemption of units of membership interests by the holder thereof pursuant to and in accordance with Section 12.2 of the LLC Agreement.
Unit Redemption has the meaning set out in Subsection6.1

  • You may redeem Consulting Units in accordance with the applicable equivalent Unit Value in the Consulting Unit Redemption Table set forth at xxxx://xxx.xxxxxx.xxx/licenses/redemptiontable and the following procedure: • Contact a Red Hat sales representative or consulting representative to request Consulting Unit redemption.

  • A Limited Partner may not exercise the Common Unit Redemption Right for less than one thousand (1,000) Common Units or, if such Limited Partner holds less than one thousand (1,000) Common Units, all of the Common Units held by such Limited Partner.

  • A Limited Partner may not exercise the OP Unit Redemption Right for less than one thousand (1,000) OP Units or, if such Limited Partner holds less than one thousand (1,000) OP Units, all of the OP Units held by such Limited Partner.

  • If the Partnership or the General Partner is required to withhold and pay over to any taxing authority any amount upon a Redeeming Limited Partner’s exercise of the Common Unit Redemption Right and if the Common Redemption Amount equals or exceeds the Withheld Amount, the Withheld Amount shall be treated as an amount received by such Partner in redemption of its Common Units.

  • The Call Notice shall set forth the Unit Redemption Price and the proposed closing date of such purchase of such Call Units; provided that such closing date shall occur within ninety (90) days following the date of such Call Notice.

  • Each Redeeming Limited Partner agrees to execute such documents as the General Partner may reasonably require in connection with the issuance of REIT Shares upon exercise of the Common Unit Redemption Right.

  • The Investment Manager may apply the NAV of 1 (one) Exchange Day before the Exchange Day of Redemption application is submitted, as the estimation calculation of Collective Maximum Limit of Participation Unit Redemption.

  • Each Redeeming Limited Partner agrees to execute such documents as the General Partner may reasonably require in connection with the issuance of Common Stock upon exercise of the OP Unit Redemption Right.

  • The Common Unit Redemption Right provided to Limited Partners under Section 8.04 hereof shall not apply with respect to LTIP Units unless and until they are converted to Common Units as provided in clause (v) below and Section 4.05 hereof.

  • If a Redeeming Limited Partner believes that it is exempt from such withholding upon the exercise of the OP Unit Redemption Right, such Partner must furnish the General Partner with such supporting documentation reasonably requested by the General Partner.

Related to Unit Redemption

  • Tax Redemption The meaning specified in Section 9.3(a) hereof.

  • Special Event Redemption Price has the meaning specified in Section 11.2.

  • Series A Redemption Date has the meaning set forth in Section 16.6.

  • Optional Redemption shall have the meaning set forth in Section 6(a).

  • Special Redemption has the meaning set forth in Section 15.1.A hereof.

  • Minimum Redemption means, in relation to the Euro RDR ‘Retail’ Unhedged Distribution Shares, a minimum redemption of €250 or such lesser amount as may be agreed by the Directors;

  • Triggering Redemption Amount means, for each share of Preferred Stock, the sum of (a) the greater of (i) 130% of the Stated Value and (ii) the product of (y) the VWAP on the Trading Day immediately preceding the date of the Triggering Event and (z) the Stated Value divided by the then Conversion Price, (b) all accrued but unpaid dividends thereon and (c) all liquidated damages and other costs, expenses or amounts due in respect of the Preferred Stock.

  • Tax Redemption Date means, when used with respect to any Note to be redeemed pursuant to a Tax Redemption, the date fixed for such Tax Redemption pursuant to this Indenture.

  • Call and Put Redemption Amount means GBP 1 per Preference Share.

  • Tax Event Redemption Price means an amount equal to the unpaid principal amount of this Note to be redeemed, which shall be determined by multiplying (1) the Outstanding Principal Amount of this Note by (2) the quotient derived by dividing (A) the outstanding principal amount to be redeemed by Principal Life of the Funding Agreement by (B) the outstanding principal amount of the Funding Agreement.

  • Make-Whole Redemption Price has the meaning given to such term in Section 4.1.

  • Note Redemption Price means, for the Redemption Date, an amount equal to the sum of:

  • Series A Redemption Notice has the meaning set forth in Section 16.6(b).

  • Series A Redemption Price has the meaning set forth in Section 16.6(a).

  • Term Redemption Date means, with respect to any Series, the date specified as the Term Redemption Date in the Appendix for such Series.

  • Tax Event Redemption means, if a Tax Event shall occur and be continuing, the redemption of the Notes, at the option of the Company, in whole but not in part, on not less than 30 days nor more than 60 days' written notice.

  • Note Redemption Date means, with respect to any Notes to be redeemed under the Indenture, the date fixed for redemption of such Notes under the Indenture.

  • Optional Redemption Date shall have the meaning set forth in Section 6(a).

  • Optional Redemption Price shall have the meaning set forth in Section 3.2.

  • Monthly Redemption means the redemption of this Debenture pursuant to Section 6(b) hereof.

  • Special Redemption Price has the meaning set forth in paragraph 4(a) of Annex I.

  • Final Redemption Date means for each Series, the final redemption date specified in the Final Terms for such Series.

  • Make-Whole Redemption Amount means the sum of:

  • Make-whole Redemption Rate means the sum, as calculated by the Make-whole Calculation Agent, of the Benchmark Rate and the Make-whole Margin.

  • Mandatory Redemption means a redemption of ETP Securities in accordance with Condition 8.7.

  • Special Redemption Date has the meaning set forth in Section 10.2.
