Valuation Period Market Value definition

Valuation Period Market Value means the average of the average daily high and low sale price per share of the Company Common Stock on the New York Stock Exchange (the “NYSE”) for the five (5) trading days ending on and including the third trading day preceding the Effective Time (as reported in an authoritative source).
Valuation Period Market Value means the average Market Value during the Valuation Period; provided, however, that in the event the average Market Value during the Valuation Period is less than $14.00 per share, the Valuation Period Market Value shall be deemed to be $14.00 per share and in the event the average Market Value during the Valuation Period is greater than $15.00 per share, the Valuation Period Market Value shall be deemed to be $15.00 per share;
Valuation Period Market Value means the average of the closing prices of Pocahontas Bancorp Common Stock on the Nasdaq National Market System (as reported by The Wall Street Journal) for the twenty (20) consecutive trading days ending on the fifth business day before the Closing Date.

Valuation Period Market Value contained in Section 1.09(b) is hereby amended by deleting such definition in its entirety and substituting in place thereof the following:
