Variable Facility definition

Variable Facility means the agreement of Lender to make Variable Advances to Borrower pursuant to Section 1.01.
Variable Facility means the agreement of the Lender to make Advances to the Borrower Parties pursuant to Section 2.01.

Examples of Variable Facility in a sentence

  • The Variable Facility Fee shall be payable in advance, in accordance with the terms of the Variable Facility Note.

  • The aggregate principal balance of the Variable Advances Outstanding at any time shall not exceed the Variable Facility Commitment.

  • To permanently reduce the Variable Facility Commitment or the Fixed Facility Commitment, Borrower shall deliver a Facility Termination Request to Lender.

Related to Variable Facility

  • Eligible facility means any hospital, skilled nursing facility, intermediate care facility, or basic care facility licensed by the state department of health, or any assisted living facility licensed by the department of human services; and

  • Available Facility means the aggregate for the time being of each Lender’s Available Commitment.

  • Principal Facility means the real property, fixtures, machinery and equipment relating to any facility owned by the Issuer or any Subsidiary, except for any facility that, in the opinion of the Board of Directors, is not of material importance to the business conducted by the Issuer and its Subsidiaries, taken as a whole.

  • Variable Rate Bonds means Current Interest Bonds, which may be either Serial Bonds or Term Bonds, issued with a variable, adjustable, convertible or other similar interest rate which is not fixed in percentage for the entire term thereof at the date of issue, which Bonds may also be Option Bonds. Section 102.Rules of Construction. Words of the masculine gender shall be deemed and construed to include correlative words of the feminine and neuter genders. Unless the context shall otherwise indicate, the words "Bond," "Escrow Agent," "Owner," "person," "Paying Agent," and "Bond Registrar" shall include the plural as well as the singular number and the word "person" shall mean any individual, corporation partnership, joint venture, association, joint stock company, trust, unincorporated organization or government or any agency or political subdivision thereof. All references to applicable provisions of Law shall be deemed to include any and all amendments thereto.

  • Applicable Facility Fee means the percentage set forth in the table below corresponding to the Level at which the Ratings-Based Applicable Margin is determined in accordance with the definition thereof: 2 0.125 % 3 0.150 % 4 0.200 % 5 0.250 % 6 0.300 % Any change in the applicable Level at which the Ratings-Based Applicable Margin is determined shall result in a corresponding and simultaneous change in the Applicable Facility Fee.

  • Asset Backed Notes (the "Class A-2 Notes"), Class A-3 4.30% Asset Backed Notes (the "Class A-3 Notes"), Class A-4 4.36% Asset Backed Notes (the "Class A-4 Notes" and, together with the Class A-1 Notes, the Class A-2 Notes and the Class A-3 Notes, the "Class A Notes"), Class B 4.52% Asset Backed Notes (the "Class B Notes"), Class C 4.72% Asset Backed Notes (the "Class C Notes") and Class D 6.76% Asset Backed Notes (the "Class D Notes" and, together with the Class A Notes, the Class B Notes and the Class C Notes, the "Notes"), are issued under the Indenture, to which Indenture and all indentures supplemental thereto reference is hereby made for a statement of the respective rights and obligations thereunder of the Issuer, the Indenture Trustee and the Noteholders. The Notes are subject to all terms of the Indenture. The Class A-1 Notes are and will be equally and ratably secured by the collateral pledged as security therefor as provided in the Indenture. Interest on and principal of the Notes will be payable in accordance with the priority of payments set forth in Section 8.2 of the Indenture.

  • Incremental Facility has the meaning specified in Section 2.16(a).

  • Test Facility means any WRAS suitably accredited test laboratory;

  • Available Facility Amount shall have the meaning specified in paragraph 2B(1).

  • New Term Loan Facility means the facility providing for the Borrowing of New Term Loans.

  • Institutional facility means an organization whose primary purpose is to provide a physical environment for patients to obtain health care services and shall not include those places where physicians, dentists, veterinarians, or other practitioners, who are duly licensed, engage in private practice.

  • Residential facility means a home or facility that is licensed by the department of developmental disabilities under section 5123.19 of the Revised Code and in which a child with a developmental disability resides.
