Vendor Credit Facility definition

Vendor Credit Facility as defined in the Trust Agreement.
Vendor Credit Facility. (as defined in the Trust Agreement) established by a vendor which shall have agreed to supply to the Borrower and its Restricted Subsidiaries a material amount of equipment (other than handsets) and services comprising or relating to property or assets to be utilized in connection with the Borrower's national wireless telecommunications network;
Vendor Credit Facility means any agreement entered into with one or more vendors, suppliers or lessors of telecommunications equipment or assets (including any agreement entered into with any such vendor, supplier or lessor or any financial institution acting on behalf of any such vendor, supplier or lessor) in order to finance the acquisition or construction of telecommunications equipment or assets, as such agreement may be amended, modified, supplemented, refunded, refinanced, restructured, renewed or replaced from time to time; provided that (i) any equipment or other assets acquired or leased under or pursuant to such Vendor Credit Facility are received by the Issuer or a Restricted Subsidiary and (ii) all obligations with respect to or under such Vendor Credit Facility or any amendment, modification, supplement, refunding, refinancing, restructuring, renewal or replacement thereof are owed, whether directly or indirectly, as the case may be, to a Person who is not an Affiliate of the Issuer or any of its Subsidiaries and no such Affiliate shall act as a facilitator or conduit or in a similar capacity with respect thereto.
