Vendor Loan Note Instrument means the instrument in the agreed terms constituting the Vendor Loan Notes;
Vendor Loan Note Instrument means the instrument in the agreed terms constituting the Vendor Loan Notes; “Vendor Loan Notes” means the EUR25,000,000 nominal amount of vendor loan notes to be issued to the Seller on Completion constituted by the Vendor Loan Note Instrument; “Warranties” means the warranties referred to in Clause 9 and set out in Schedule 3 (Warranties) and “Warranty” shall mean any one of them; “Workers” means any employees, directors, officers, workers and self-employed contractors of the Group; 19 “Working Capital” means the aggregate value of the line items listed in the column labelled “Working Capital” set out in Part 2 of Schedule 7 as at the Effective Time and excluding unamortised debt issuance costs; and “Working Capital Adjustment” means the amount by which the Working Capital exceeds the Target Working Capital (which amount shall be added to the Bid Value for the purpose of Clause 4.1) or the amount by which the Working Capital is less than the Target Working Capital (which amount shall be deducted from the Bid Value for the purposes of Clause 4.1).
Vendor Loan Note Instrument means the vendor loan note instrument of the Issuer set out in Exhibit 1.1/10.

Vendor Loan Note Instrument means the loan note instrument constituting the Vendor Loan Notes, in substantially the form set out in Exhibit G (or in such other form as is agreed between the Seller and the Buyer between the date of this Agreement and Closing). “Vulcan Group” means the group of companies of which Vulcan Topco is the ultimate parent and including, with effect from Closing, the Companies;
Vendor Loan Note Instrument means the instrument dated 22 June 2001 entered into by the UK Principal Borrower constituting the Vendor Loan Note;

  • Borrower Loan Agreement means this Borrower Loan Agreement.
