Vendor Loan Note Instrument definition

Vendor Loan Note Instrument means the instrument in the agreed terms constituting the Vendor Loan Notes;
Vendor Loan Note Instrument means the instrument dated 22 June 2001 entered into by the UK Principal Borrower constituting the Vendor Loan Note;
Vendor Loan Note Instrument means the loan note instrument constituting the Vendor Loan Notes, in substantially the form set out in Exhibit G (or in such other form as is agreed between the Seller and the Buyer between the date of this Agreement and Closing). “Vulcan Group” means the group of companies of which Vulcan Topco is the ultimate parent and including, with effect from Closing, the Companies;

Vendor Loan Note Instrument means the vendor loan note instrument of the Issuer set out in Exhibit 1.1/10.

Vendor Loan Note Instrument means the deed to be entered into constituting the initial amount of $242,000,000 13 per cent. fixed rate guaranteed, secured 2018 Vendor Loan Notes of the Parent, together with any PIK notes constituted by and issued thereunder, as the same may be amended or varied from time to time together with any supplemental deed thereto.

  • Borrower Loan Agreement means the Borrower Loan Agreement, of even date herewith, between the Governmental Lender and the Borrower, as supplemented, amended or replaced from time to time in accordance with its terms.

  • Co-Lender Agreement With respect to any Loan Combination, the co-lender agreement, intercreditor agreement, agreement among noteholders or similar agreement, dated as of the date set forth in the Loan Combination Table under the column heading “Date of Co-Lender Agreement” and governing the relative rights of the holders of the related Mortgage Loan and Companion Loan(s), as the same may be amended, restated or otherwise modified from time to time in accordance with the terms thereof. A Co-Lender Agreement exists with respect to each Loan Combination as of the Closing Date.

  • Loan Note means each Loan Note of the Borrower in the form of Exhibit C attached hereto, payable to the order of a Funding Agent for the benefit of the Lenders in such Funding Agent’s Lender Group, in the aggregate face amount of up to such Lender Group’s portion of the Maximum Facility Amount, evidencing the aggregate indebtedness of the Borrower to the Lenders in such Funding Agent’s Lender Group.

  • Loan Notes means the promissory notes evidencing the Loans in the aggregate original principal amount of Two Hundred Million Dollars ($200,000,000) executed by Borrower in favor of Lenders, as they may be amended, supplemented, replaced or modified from time to time. The Loan Notes and any replacements thereof shall be substantially in the form of Exhibit C.

  • Funding Loan Agreement means this Funding Loan Agreement, of even date herewith, by and among the Funding Lender, the Governmental Lender and the Fiscal Agent, as it may from time to time be supplemented, modified or amended by one or more funding loan agreements, indentures or other instruments supplemental hereto entered into pursuant to the applicable provisions hereof.

  • Subsidiary Loan Agreement means the agreement to be entered into between the Borrower and ECTEL pursuant to Section 3.01(b) of this Agreement, as the same may be amended from time to time; and such term includes all schedules to the Subsidiary Loan Agreement;
