Vested Performance Rights definition

Vested Performance Rights means Performance Rights which have no Vesting Conditions attached or in respect of which all Vesting Conditions attached to the Performance Rights have been satisfied or waived by the Company.
Vested Performance Rights means Performance Rights which are determined to have vested in accordance with the Plan and will be automatically exercised and Shares issued in accordance with clause 5.3.
Vested Performance Rights means Performance Rights which are determined to have vested in accordance with the Plan and which may be exercised prior to the Expiry Date in accordance with clause 5.3.

Examples of Vested Performance Rights in a sentence

  • Vested Performance Rights that are not exercised by this time will lapse.In all other circumstances, a pro rata portion of unvested Performance Rights will remain on foot and will vest and become exercisable in the normal course subject to the original conditions, as though Mr Verner had not ceased employment.

  • Vested Performance Rights granted to designated participants shall be redeemed on the last day of the performance period (or such earlier date in the case of vested Performance Rights that are redeemable immediately upon the achievement of target milestones).

  • Unless the Board determines otherwise, any restrictions on Dealing imposed by the Board on Vested Performance Rights will cease to have effect on the occurrence of a Change of Control Event.

  • The Board may apply Disposal Restrictions as set out in the Offer to any Shares issued or transferred in relation to Vested Performance Rights and/or Vested Options.

  • Notwithstanding any other provisions of these Rules, if a Participant and the Board agree in writing that some or all of the unvested Performance Rights and/or unexercised Vested Performance Rights and/or unexercised Options granted to that Participant may be cancelled on a specified date or on the occurrence of a particular event, then the Board may cancel those Performance Rights or Options on the relevant date or on the occurrence of the particular event (as the case may be) for no consideration.

  • Vested Performance Rights that are not exercised by this time will lapse.However, pursuant to the EIP Rules, the Board retains discretion to determine to treat any unvested Performance Rights other than in the manner set out above if the Board determines that the relevant circumstances warrant such treatment.

  • Within 30 days from the Vesting Date in respect of a Participant's Vested Performance Rights, the Company must cause to be issued or transferred to the Participant, the number of Shares (expressed to one decimal place) comprised in each Vested Performance Right multiplied by the number of Vested Performance Rights held by that Participant, rounded down to the nearest whole number of Shares.

  • The vesting schedule is as follows: ASR Vesting Schedule ASR performance outcome Vested Performance Rights are subject to ongoing employment obligations.

  • In the event of any of: the acquisition of all or substantially all of the Shares in the Company by; or the sale of all or substantially all of the Company’s assets and undertaking to; a trade or strategic buyer including, for the avoidance of doubt, an existing Share holder or its affiliates (Trade Sale), all Vested Performance Rights will be deemed to be exercised, acquired and Cash Settled on the terms of the Trade Sale or otherwise dealt with at the Board’s absolute discretion.

  • Subject to Section 7.7, Vested Performance Rights shall be redeemed as to one-half (1/2) the number of Vested Performance Rights in Shares and as to the remaining one-half (1/2) of Vested Performance Rights in cash.

Related to Vested Performance Rights

  • Performance Stock Unit means a right granted to a Participant pursuant to Section 8.2, to receive Stock, the payment of which is contingent upon achieving certain Performance Goals or other performance-based targets established by the Committee.

  • Qualified Performance-Based Award means an Award intended to qualify for the Section 162(m) Exemption, as provided in Section 11.

  • Performance Share Award means an Award entitling the recipient to acquire shares of Stock upon the attainment of specified Performance Goals.

  • Stock Unit means a bookkeeping entry representing the equivalent of one Share, as awarded under the Plan.

  • Performance Unit means an Award which may be earned in whole or in part upon attainment of performance goals or other vesting criteria as the Administrator may determine and which may be settled for cash, Shares or other securities or a combination of the foregoing pursuant to Section 10.
