VOD Included Programs definition

VOD Included Programs are: (a) all Current Features with a VOD Availability Date during the Avail Term and (b) during each Avail Year, no fewer than twenty-five (25) Library Features.
VOD Included Programs for each Avail Year are the following Included Programs with a VOD Availability Date during such Avail Year: all Current Features, all Additional Features, no more than 1 SIT Feature per month in such Avail Year if made available by Licensor hereunder, and no fewer than 30 (in the aggregate)22 DTV and/or MFT. “PPV Included Programs” for each Avail Year are the following Included Programs with a PPV Availability Date during such Avail Year: all Current Features, all Additional Features, no fewer than 1 SIT Feature per month in such Avail Year, and no fewer than 4 (in the aggregate) DTV and/or MFT.
VOD Included Programs for each Avail Year are the following Included Programs with a VOD Availability Date during such Avail Year: all Current Features, and no fewer than 20 Additional Features, 100 Library Features and 22 DTV. “PPV Included Programs” for each Avail Year are the following Included Programs with a PPV Availability Date during such Avail Year: all Current Features, no fewer than 4 Additional Features or DTV.. In addition to the foregoing, Licensee shall license from Licensor during each Avail Year all HD versions of (i) Current Features with Domestic Box Office of over $5 million and (ii) Additional Features with Domestic Box Office of over $1 million.‌

Examples of VOD Included Programs in a sentence

  • Licensee shall not be permitted in any event to offer or conduct promotional campaigns for the VOD Included Programs offering free buys, including without limitation “two-for-one” promotions (by coupons, rebate or otherwise) without Licensor’s prior written consent.

  • Without limiting any other provisions hereof, Licensee shall market and promote the VOD Included Programs in accordance with the terms and conditions set forth in this Section 4 and the Section 12 of Schedule A.

  • For clarity, with respect to the Standard Definition version and/or High Definition version of the applicable VOD Included Program made available as part of the VOD Customer Transaction for the 4K VOD Program, the VOD Customer shall have the same rights to access, view, transfer, retain and retrieve such versions as they do in respect of VOD Included Programs acquired in Standard Definition or High Definition pursuant to a stand-alone VOD Customer Transaction.

  • The VOD License Fee for each VOD Avail Year during the VOD Avail Term shall be the aggregate total of all VOD Per-Program License Fees due for all VOD Included Programs whose VOD Availability Date occurs during each such VOD Avail Year, calculated as set forth below.

  • Without limiting the generality of the foregoing, no Included Program shall be transmitted or exhibited to any person other than a Customer within the Territory in the medium of Video-On-Demand (with respect to VOD Included Programs) or DHE (with respect to DHE Included Programs), or transmitted other than by Approved Transmission Means in an Approved Format to Approved Devices on the Licensed Service for a Personal Use, subject at all times to the Usage Rules.

  • For each calendar month during the Term, the VOD License Fee equals the aggregate total of the VOD Per-Program License Fees due for all VOD Included Programs with any part of its VOD License Period occurring during such calendar month.

  • Except for VOD Included Programs that Licensor has previously delivered to Licensee pursuant to the DHE General Terms, and for which Licensee has paid the Servicing Fee (as defined in the DHE General Terms), all costs (including, without limitation, duplication/encoding, shipping and forwarding charges, and insurance) shall be borne solely by Licensor.

  • With respect to Canada, Licensor shall license to Licensee the following VOD Included Programs hereunder: (a) all Current Films with a VOD Availability Date during the VOD Avail Term and (b) at least three hundred (300) Library Films during each VOD Avail Year.

  • Licensor shall provide Licensee with periodic availability lists setting forth the VOD Included Programs available for licensing hereunder in Canada, from which Licensee shall select the Library Films.

  • Licensee shall license from Licensor hereunder the following number of VOD Included Programs during each VOD Avail Year of the VOD Avail Term: (a) with respect to each of the US VOD Service and the Canadian VOD Service, all Current Features with a VOD Availability Date during the VOD Avail Term; (b) with respect to the US VOD Service, at least 75 Library Features and (c) with respect to the Canadian VOD Service, at least 75 Library Features.

Related to VOD Included Programs

  • Excluded Products means the part(s) of the Products specified as such in the Lot Information and Conditions;

  • Qualified high-technology business means a business or facility whose primary business activity is high-technology activity or a qualified high-wage activity.

  • Covered Program means an education program or activity over which the College exercised substantial control over both the Respondent and the context in which the sexual harassment occurred.
