VOD Availability Date definition

VOD Availability Date with respect to a program shall mean the date on which such program is first made available for exhibition hereunder as specified in Section 4.2 of the VOD General Terms.
VOD Availability Date means, with respect to any VOD Included Program, the date specified by CDD on which Amazon is entitled to commence VOD Customer Transactions with respect to such VOD Included Program on the Service; provided, however, solely with respect to 4K Included Programs distributed pursuant to the 4K Rights, the VOD Availability Date shall mean the 4K VOD Availability Date.
VOD Availability Date means, with respect to a VOD Included Program, the date on which such title is first made available to Licensee for exhibition on a VOD basis hereunder, as specified in Section 4.2.

Examples of VOD Availability Date in a sentence

  • With respect to Canada, Licensor shall license to Licensee the following VOD Included Programs hereunder: (a) all Current Films with a VOD Availability Date during the VOD Avail Term and (b) at least three hundred (300) Library Films during each VOD Avail Year.

  • The VOD Availability Date for each VOD Included Program shall be as determined by Licensor in its sole discretion but not later than forty-five (45) days after the Home Video Rental Street Date.

  • Such lists shall include each program’s VOD Availability Date, VOD License Period and available resolutions (e.g. HD and/or SD).

  • The VOD License Period for each VOD Included Program shall commence on its VOD Availability Date and shall expire on the date established by Licensor in its sole discretion; provided, that the License Period for each Current Feature shall end no earlier than the latest date during the Avail Term that such Current Feature is authorized to be made available on a VOD basis by any Other Distributor in the applicable Territory.

  • Availability Date means the day after the end of the fourth fiscal quarter following the fiscal quarter that includes such Effective Time on which the Company is required to file its Form 10-Q for such fiscal quarter except that, if such fourth fiscal quarter is the last quarter of the Company’s fiscal year, “Availability Date” means the day after the end of such fourth fiscal quarter on which the Company is required to file its Form 10-K.

  • Excess Availability means, as of any date of determination, the amount equal to Availability minus the aggregate amount, if any, of all trade payables of Borrower and its Subsidiaries aged in excess of historical levels with respect thereto and all book overdrafts of Borrower and its Subsidiaries in excess of historical practices with respect thereto, in each case as determined by Agent in its Permitted Discretion.

  • Revolving Availability Period means the period from and including the Effective Date to but excluding the earlier of the Revolving Maturity Date and the date of termination of the Revolving Commitments.

  • Scheduled Unavailability Date has the meaning specified in Section 3.03(c).

  • Undrawn Availability at a particular date shall mean an amount equal to (a) the lesser of (i) the Formula Amount, or (ii) the Maximum Revolving Advance Amount, minus the Maximum Undrawn Amount of all Letters of Credit, minus (b) the sum of (i) the outstanding amount of Revolving Advances, plus (ii) amounts due and owing to any Borrower’s trade creditors which are outstanding sixty (60) days or more past the due date thereof.

  • Average Excess Availability means, with respect to any period, the sum of the aggregate amount of Excess Availability for each day in such period (as calculated by Agent as of the end of each respective day) divided by the number of days in such period.

  • Availability Amount is (a) the lesser of (i) the Revolving Line or (ii) the amount available under the Borrowing Base minus (b) the outstanding principal balance of any Advances.

  • Non-Availability Charges has the meaning set forth in the CAISO Tariff.

  • System Availability means, with respect to any particular calendar month, the ratio obtained by subtracting Unscheduled Downtime during such month from the Total Monthly Time, and thereafter dividing the difference so obtained by the Total Monthly Time. Represented algebraically, System Availability for any particular calendar month is determined as follows:

  • Service Availability The total number of minutes in a calendar quarter that the Tyler Software is capable of receiving, processing, and responding to requests, excluding maintenance windows, Client Error Incidents and Force Majeure.
