VoiceStream Common Stock definition

VoiceStream Common Stock means the common stock, $0.001 par value, of VoiceStream.
VoiceStream Common Stock shall have the meaning set forth in the recitals of this Agreement.
VoiceStream Common Stock shall have the meaning set forth in Section 4.3.

  • After the Effective Time, any nominee or successor nominee shall be selected by mutual agreement of ITC Holding Company, Inc., a Delaware corporation ("ITCORP") and SCANA Communications Holdings, Inc., a Delaware corporation ("SCORP") or, if no such agreement can be reached, by whichever of ITCORP and SCORP beneficially owns the larger number of shares of VoiceStream Common Stock and VoiceStream preferred stock (on an as-if-converted basis).

  • VoiceStream shall use all reasonable efforts to list all Subject Stock covered by such registration statement on any national securities exchange on which the VoiceStream Common Stock is then listed or to list such Subject Stock on the National Association of Securities Dealers, Inc.

  • VoiceStream has the requisite corporate power and authority to execute and deliver this Agreement and the other agreements to which it is a party that are referenced herein and, subject to the approval and adoption of this Agreement by a majority of the votes cast at a meeting by the holders of the VoiceStream Common Stock (the "VoiceStream Stockholder Approval"), to consummate the transactions contemplated hereby.

  • No more than 7.5% of the shares of VoiceStream Common Stock outstanding immediately prior to the Effective Time shall be Dissenting Shares.

  • As of the date hereof, there are no outstanding rights, subscriptions, warrants, puts, calls, unsatisfied preemptive rights, options or other agreements of any kind relating to any of the VoiceStream Common Stock, and there is no authorized or outstanding security of any kind convertible into or exchangeable for any such VoiceStream Common Stock.

  • The shares of VoiceStream Common Stock issuable in accordance with the Reorganization and pursuant to Section 5.02 shall have been authorized for listing on the Nasdaq, subject to official notice of issuance.

  • Each outstanding share of VoiceStream Common Stock is, and each share of VoiceStream Common Stock which may be issued pursuant to the VoiceStream ESPP or VoiceStream ERSP will be, when issued in accordance with the respective terms thereof, duly authorized, validly issued, fully paid and nonassessable and not subject to preemptive rights.

  • None of VoiceStream, Sub, Powertel, the Surviving Corporation or the Exchange Agent shall be liable to any Person in respect of any VoiceStream Common Stock or cash delivered to a public official pursuant to any applicable abandoned property, escheat or similar law.

  • The "VoiceStream Average Closing Price" shall mean the volume weighted average closing price (based on the Nasdaq National Market System ("Nasdaq") composite volume published by the Wall Street Journal) of the VoiceStream Common Stock as publicly reported for the Nasdaq as of 4:00 p.m. Eastern Time for ten (10) trading days randomly selected by lot out of the last twenty (20) trading days ending five (5) trading days prior to the Closing Date.

  • No fractional shares of VoiceStream Common Stock will be issued upon the exercise of Substitute Options.

  • Class V Common Stock means the Class V common stock, par value $0.0001 per share, of the Corporation.

  • SpinCo Common Stock means the common stock, par value $0.01 per share, of SpinCo.
