VoiceStream Common Stock definition

VoiceStream Common Stock means the common stock, $0.001 par value, of VoiceStream.
VoiceStream Common Stock shall have the meaning set forth in the recitals of this Agreement.
VoiceStream Common Stock shall have the meaning set forth in Section 4.3.

  • VoiceStream shall use all reasonable efforts to list all Subject Stock covered by such registration statement on any national securities exchange on which the VoiceStream Common Stock is then listed or to list such Subject Stock on the National Association of Securities Dealers, Inc.

  • After the Effective Time, any nominee or successor nominee shall be selected by mutual agreement of ITC Holding Company, Inc., a Delaware corporation ("ITCORP") and SCANA Communications Holdings, Inc., a Delaware corporation ("SCORP") or, if no such agreement can be reached, by whichever of ITCORP and SCORP beneficially owns the larger number of shares of VoiceStream Common Stock and VoiceStream preferred stock (on an as-if-converted basis).

  • The shares of VoiceStream Common Stock issuable in accordance with the Reorganization and pursuant to Section 5.02 shall have been authorized for listing on the Nasdaq, subject to official notice of issuance.

  • VoiceStream shall also take any reasonable action (other than qualifying to do business in any jurisdiction in which it is now not so qualified) required to be taken under any applicable state securities laws in connection with the issuance of VoiceStream Common Stock, in connection with the Reorganization and upon any exercise of the Substitute Options.

  • The authorized capital stock of VoiceStream consists of 300,000,000 shares of VoiceStream common stock ("VoiceStream Common Stock") and 50,000,000 shares of VoiceStream preferred stock ("VoiceStream Preferred Stock").

  • All shares of VoiceStream Common Stock issued and cash paid upon the surrender of Powertel Certificates in accordance with the terms of this Article I (including any cash paid pursuant to Section 1.07(d) or Section 1.07(e)) shall be deemed to have been issued (and paid) in full satisfaction of all rights pertaining to the shares of Powertel Stock theretofore represented by such Powertel Certificates.

  • Each outstanding share of VoiceStream Common Stock is, and each share of VoiceStream Common Stock which may be issued pursuant to the VoiceStream ESPP or VoiceStream ERSP will be, when issued in accordance with the respective terms thereof, duly authorized, validly issued, fully paid and nonassessable and not subject to preemptive rights.

  • VoiceStream shall use reasonable best efforts to be included on Nasdaq, upon notification of issuance, the shares of VoiceStream Common Stock to be issued in connection with the Reorganization and upon any exercise of the Substitute Options.

  • No more than 7.5% of the shares of VoiceStream Common Stock outstanding immediately prior to the Effective Time shall be Dissenting Shares.

  • None of VoiceStream, Sub, Powertel, the Surviving Corporation or the Exchange Agent shall be liable to any Person in respect of any VoiceStream Common Stock or cash delivered to a public official pursuant to any applicable abandoned property, escheat or similar law.

  • Parent Ordinary Shares means the ordinary shares, par value $0.25 per share, of Parent.

  • Common Stock Equivalent means any Convertible Security or warrant, option or other right to subscribe for or purchase any Additional Shares of Common Stock or any Convertible Security.
