Vornado Taint means any violation of a covenant or any inaccuracy or falsity of a representation made by Vornado in Section 7.1, 7.3 or 7.5 of this Agreement.
Embalmer means any person engaged in the practice of embalming.
D&O Tail has the meaning specified in Section 7.01(b).
Management Company Employee means an individual employed by a Person providing management services to the Company which are required for the ongoing successful operation of the business enterprise of the Company, but excluding a Person engaged in Investor Relations Activities;
Parent means a "parent corporation," whether now or hereafter existing, as defined in Section 424(e) of the Code.
Constellation has the meaning assigned to that term in the Recitals.
Partner means any General Partner or Limited Partner.
AIG means American International Group, Inc.
Company Employee means an employee of the Company or an employee of a Subsidiary of the Company, if any.
Principals or Key Personnel means and refers to those principals and key personnel of the Contractor, and its or their agents, as described in C.G.S. §§ 4-250(5) and 4-252(c)(1)(B) and (C).
Wildlife officer means any individual authorized by a participating state to issue a citation for a wildlife violation.
Forest means an area of land defined by the minimum values for area size, tree crown cover or an equivalent stocking level, and potential tree height at maturity at the place of growth of the trees as specified for each Member State in Annex II. It includes areas with trees, including groups of growing, young, natural trees, or plantations that have yet to reach the minimum values for tree crown cover or an equivalent stocking level or minimum tree height as specified in Annex II, including any area that normally forms part of the forest area but on which there are temporarily no trees as a result of human intervention, such as harvesting, or as a result of natural causes, but which area can be expected to revert to forest;
Confluent growth means a continuous bacterial growth covering the entire filtration area of a membrane filter, or a portion thereof, in which bacterial colonies are not discrete.
Economic development means all powers expressly granted and reasonably inferred pursuant to SDCL § 9-54.
Nexus means that a partnership’s business activity is of such a degree that the state or foreign country has jurisdic- tion to impose an income tax or franchise tax measured by net income. Under Public Law 86-272, a state can’t impose an income tax or franchise tax based on net income on a partnership selling tangible personal property if the part- nership’s only activity in the state is the solicitation of or- ders, which orders are approved outside the state and are filled by delivery from a point outside the state.
Participating Company Group means, at any point in time, all corporations collectively which are then Participating Companies.
Criminal street gang associate or member means any person
EDS means Electronic Data Systems Corporation, a Delaware corporation, all its direct and indirect subsidiaries, all its affiliated entities, and all its successors and assigns, and the employees, agents, attorneys, officers and directors of each of them.
Planning Director means the Planning Director of the City of Santa Xxxxxx, or his or her designee.
economic resources means assets of every kind, whether tangible or intangible, movable or immovable, which are not funds, but may be used to obtain funds, goods or services;
shadow director means, in relation to a company, any person in accordance with whose directions or instructions the directors of the company are accustomed to act, but the person is not deemed to be a shadow director by reason only that the directors act on advice given by that person in a professional capacity; and
DPWH means the Department of Public Works and Highways of the Government of the Philippines.
Cohabitant means the same as that term is defined in Section 78B-7-102.
Planned unit development means a subdivision characterized by a unified site design, clustered residential units and/or commercial units, and areas of common open space.
COP means the conference of the parties to the Convention;
Brookfield Group means Brookfield and any Affiliates of Brookfield, other than any member of the BREP Group;
Company Group means the Company and its Subsidiaries.
