Voting Event definition

Voting Event the occurrence of an Event of Statutory Default of which the Pledgee has given notice to the Pledgor and the Company, in which notice the Pledgee notifies the Pledgor that it wishes to exercise the Voting Rights (as defined below);
Voting Event means, in relation to the Shares, the service of a notice by the Security Agent (either specifying that Share or generally in relation to all or a designated class of Shares) on the Chargor upon or after the occurrence of an Acceleration Event which is continuing, specifying that control over the voting rights attaching to the Share or Shares specified in that notice are to pass to the Security Agent.
Voting Event means the occurrence of an Enforcement Event which entitles the Administrative Agent to declare any of the Secured Obligations in whole or in part to be due and payable immediately or on demand and furthermore provided that the Administrative Agent, acting as aforementioned, has actually declared any of the Secured Obligations in whole or in part to be due and payable immediately or on demand; Voting Rights has the meaning ascribed thereto in Clause 3.8.

Examples of Voting Event in a sentence

  • All Owned Shares are held free and clear of any Liens and no proxy has been granted with respect thereto (other than pursuant to this Agreement) and will be held free and clear of any Liens and the Voting Shares will not be subject to any proxies (other than pursuant to this Agreement) as of the date of the Shareholders Meeting or any other applicable Voting Event.

  • As of the date hereof, Stockholder has, and as of the date of the Shareholders Meeting or other Voting Event, Stockholder will have (except as otherwise permitted or required by this Agreement), sole voting power and sole dispositive power with respect to all of the Owned Shares.

  • In the case of a Redemption Date established in connection with a Parent Control Transaction, an Exchangeable Share Voting Event and an Exempt Exchangeable Share Voting Event, the written notice of redemption by the Corporation or the purchase by Parent under the Redemption Call Right will be sent on or before the Redemption Date, on as many days prior written notice as may be determined by the Board of Directors of the Corporation to be reasonably practicable in the circumstances.


More Definitions of Voting Event

Voting Event means a SDPI shareholder meeting or any other meeting of the stockholders of SDPI or any written consent of the stockholders of SDPI, in each case relating to any proposed action by SDPI Stockholders with respect to the Merger.
