Warrant Common Shares definition

Warrant Common Shares means, collectively, the shares of Common Stock issuable upon exercise of the Common Warrants.
Warrant Common Shares means the shares of Common Stock issued or issuable upon conversion of the Warrant Preferred Shares.
Warrant Common Shares means the Common Shares into which this Warrant may be exercised.

  • The Company understands and acknowledges that the number of Conversion Shares and Warrant Common Shares will increase in certain circumstances.

  • In the event that such sale, assignment or transfer involves Conversion Shares or Warrant Common Shares sold, assigned or transferred pursuant to an effective registration statement or in compliance with Rule 144, the transfer agent shall issue such shares to such Buyer, assignee or transferee (as the case may be) without any restrictive legend in accordance with Section 5(d) below.

  • Upon the Effective Date, the Warrant Common Shares will have been duly authorized and reserved for issuance upon exercise of the Warrants in accordance with the terms and conditions of this Agreement and the Warrants, and upon such issuance will be fully paid and nonassessable and free from all taxes, liens and charges with respect to the issue thereof.

  • The Exercise Price and number of Warrant Common Shares issuable upon exercise of this Common Warrant are subject to adjustment from time to time as set forth in this Section 2.

  • Common Warrant Shares means the shares of Common Stock issuable upon exercise of the Common Warrants.

  • Unit Shares has the meaning ascribed thereto in the first paragraph of this Agreement;
