Warrant Factor definition

Warrant Factor means, at the time of each exercise of Warrants, (i) the number of Shares actually issued by the Company upon such exercise divided by (ii) the Total Warrant Amount.
Warrant Factor means, a fraction the numerator of which is the aggregate principal amount of all Notes issued to the Holder (as Purchaser or a permitted assignee of a Purchaser) pursuant to the Agreement, and the denominator of which is the Commitment of that Purchaser on the Effective Date.

Warrant Factor means 0.193333, subject to adjustment as provided herein. In case the Company shall at any time after the Filing Date subdivide (by any stock split, stock dividend or otherwise) its outstanding shares of Common Stock into a greater number of shares, the Warrant Factor in effect immediately prior to such subdivision shall be proportionately increased, and, conversely, in case at any time after the Filing Date the outstanding shares of Common Stock shall be combined into a smaller number of shares, the Warrant Factor in effect immediately prior to such combination shall be proportionately decreased.   • Warrant Share means a Common Share issuable upon exercise of one Warrant;

  • Warrant Price as used in this Agreement shall mean the price per share at which shares of Common Stock may be purchased at the time a Warrant is exercised. The Company in its sole discretion may lower the Warrant Price at any time prior to the Expiration Date (as defined below) for a period of not less than twenty (20) Business Days, provided, that the Company shall provide at least twenty (20) days prior written notice of such reduction to Registered Holders of the Warrants and, provided further that any such reduction shall be identical among all of the Warrants.

  • Current Warrant Price means, in respect of a share of Common Stock at any date herein specified, the price at which a share of Common Stock may be purchased pursuant to this Warrant on such date. Unless and until the Current Warrant Price is adjusted pursuant to the terms herein, the initial Current Warrant Price shall be $2.36 per share of Common Stock.

  • Fixed Conversion Price shall have the meaning set forth in Section 4(b).

  • Exchange Price means as of any date, $1,000, divided by the Exchange Rate as of such date.

  • Load Factor means the percentage of aircraft seats actually occupied on a flight (RPMs divided by ASMs). “NMB” means the National Mediation Board.

  • Purchase Option Price means the amount payable by a Lessee upon the exercise of its option to purchase a related 2018-1 Vehicle which amount equals (a) with respect to a Matured Vehicle, the Contract Residual Value plus any fees, taxes and other charges imposed in connection with such purchase and (b) with respect to a related 2018-1 Vehicle for which the related 2018-1 Lease has been terminated early by the Lessee, the sum of (i) any unpaid Monthly Payments due, (ii) any fees, taxes and other charges imposed in connection with the related 2018-1 Lease, (iii) an early termination fee and (iv) the Actuarial Payoff.

  • New Conversion Price means the amount determined in accordance with the following formula, which shall apply from the QTE Effective Date: NCP = ECP * (VWAPAES / VWAPOS) where:

  • Warrant Share Delivery Date shall have the meaning set forth in Section 2(d)(i).

  • Conversion Share means any share of Common Stock issued or issuable upon conversion of any Note.

  • Conversion Price means as of any time, $1,000, divided by the Conversion Rate as of such time.

  • Fitch Discount Factor means the discount factors set forth in the Fitch Guidelines for use in calculating the Agency Discounted Value of the Company’s assets in connection with Fitch’s ratings then assigned on the Preferred Shares.

  • Warrant Exercise Period shall commence (subject to Section 6(d) below), on the later of:

  • Base Conversion Price shall have the meaning set forth in Section 5(b).

  • Floor Price means the minimum price set by the Company in the Issuance Notice below which the Agent shall not sell Shares during the applicable period set forth in the Issuance Notice, which may be adjusted by the Company at any time during the period set forth in the Issuance Notice by delivering written notice of such change to the Agent and which in no event shall be less than $1.00 without the prior written consent of the Agent, which may be withheld in the Agent’s sole discretion.
